Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Istanbul, Turkey.
2. Payment Terms: Payment shall be made in Turkish Lira (TRY) via bank transfer to the University Lecturer’s designated account within fifteen (15) business days of receipt of a valid invoice. Invoices must include the lecturer’s VKN (tax identification number) and reference this Purchase Order number (TR-IST-2025-UL-04782).
3. Service Location: All instructional and seminar services shall be delivered at the designated partner university campus or approved conference venue within the Istanbul metropolitan area, as specified in the attached service schedule.
4. Qualification Requirements: The University Lecturer must hold a minimum of a Doctorate (PhD) in Economics, Business Administration, or a related field, and must possess a valid academic appointment or freelance academic license recognized by the Yök. Proof of qualifications shall be submitted prior to the commencement of services.
5. Intellectual Property: All lecture materials, examination papers, curriculum documents, and thesis supervision records created under this Purchase Order shall remain the property of the purchasing entity. The University Lecturer retains the right to publish original research independently, provided no confidential student data is disclosed.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination, payment shall be made pro-rata for services rendered up to the termination date.
7. Compliance: The University Lecturer warrants that all services will be performed in full compliance with Turkish labor regulations, data protection laws (KVKK — Kişisel Verilerin Korunması Kanunu), and academic integrity standards applicable in Istanbul and throughout Turkey.
8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures of educational institutions in Istanbul, or public health emergencies declared by the Republic of Turkey.
