Note: This Purchase Order is issued in accordance with the procurement policies of Chicago Metropolitan University and complies with all applicable federal, Illinois state, and Chicago municipal regulations governing the engagement of academic personnel. The University Lecturer named herein shall perform all duties within the United States, specifically at the Chicago, Illinois campus, unless prior written authorization is granted by the Office of Academic Affairs. TERMS AND CONDITIONS
  1. Scope of Engagement: The University Lecturer shall provide all instructional, advisory, and administrative services as outlined in the line items above. All services shall be rendered at the Chicago Metropolitan University campus located in Chicago, Illinois, United States, or at such other location within the City of Chicago as mutually agreed upon in writing.
  2. Term of Agreement: This Purchase Order shall be effective from August 25, 2025, through May 15, 2026, covering the Fall 2025 and Spring 2026 academic semesters. The University Lecturer may be re-engaged for subsequent terms subject to a new Purchase Order issuance.
  3. Payment Terms: Payment shall be made in two equal installments of $37,650.00 each. The first installment is due within thirty (30) calendar days of the commencement of the Fall 2025 semester. The second installment is due within thirty (30) calendar days of the commencement of the Spring 2026 semester. All payments shall be processed via ACH transfer to the bank account on file with the University's Accounts Payable department in Chicago.
  4. Compliance with United States Law: The University Lecturer acknowledges and agrees to comply with all applicable United States federal laws, Illinois state statutes, and Chicago municipal ordinances, including but not limited to the Illinois Human Rights Act, the Chicago Municipal Code, and all applicable tax withholding requirements under the Internal Revenue Code.
  5. Intellectual Property: All course materials, lecture notes, examinations, and digital learning modules developed specifically for Chicago Metropolitan University under this Purchase Order shall be the sole property of the University. The University Lecturer retains the right to use general pedagogical methods and pre-existing materials not created under this Purchase Order.
  6. Confidentiality: The University Lecturer shall maintain strict confidentiality regarding student records, institutional data, and proprietary curriculum materials in accordance with the Family Educational Rights and Privacy Act (FERPA) and University policy. This obligation extends to all information encountered during the performance of duties in Chicago, United States.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for cause, the University Lecturer shall be compensated for all services rendered up to the effective date of termination. The University reserves the right to terminate immediately for material breach, misconduct, or failure to meet academic standards as defined by the Chicago Metropolitan University Faculty Handbook.
  8. Insurance and Indemnification: The University Lecturer shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence. The University Lecturer agrees to indemnify and hold harmless Chicago Metropolitan University, its trustees, officers, and employees from any claims arising out of the negligent performance of services under this Purchase Order.
  9. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Chicago, Illinois.
  10. Non-Discrimination: In accordance with United States federal law and Chicago municipal anti-discrimination ordinances, the University Lecturer shall not discriminate on the basis of race, color, religion, sex, national origin, age, disability, or any other protected characteristic in the delivery of academic services.
