4.1 Scope of Engagement. This Purchase Order authorizes the University Lecturer to perform the academic and professional services described in Section 3. The University Lecturer shall report to the Department Chair of Business Administration at the Miami campus and shall adhere to all institutional policies, including but not limited to the Faculty Handbook, the Code of Academic Conduct, and the Student Rights and Responsibilities policy.
4.2 Performance Period. Services shall commence on August 25, 2025, and conclude on December 19, 2025, corresponding to the Fall 2025 semester at the Miami, Florida campus. Any extension beyond this period shall require a written amendment to this Purchase Order signed by both parties.
4.3 Payment Terms. Payment shall be made in monthly installments of $12,475.00 (USD), due on the last business day of each calendar month, via electronic funds transfer (EFT) to the bank account designated by the University Lecturer. The first payment shall be due on September 30, 2025. Late payments shall accrue interest at a rate of 1.5% per month as permitted under Florida Statute Chapter 668.
4.4 Independent Contractor Status. The University Lecturer is engaged as an independent contractor for the purposes of this Purchase Order. Nothing in this document shall be construed to create an employer-employee relationship. The University Lecturer is solely responsible for all federal, state (Florida), and local (Miami-Dade County) tax obligations arising from compensation received under this Purchase Order.
4.5 Intellectual Property. All course materials, syllabi, lecture notes, and curriculum documents created specifically for the institution under this Purchase Order shall become the property of the University. The University Lecturer retains ownership of pre-existing intellectual property and any scholarly publications produced independently.
4.6 Confidentiality. The University Lecturer shall maintain strict confidentiality regarding student records, institutional data, proprietary course content, and any non-public information encountered during the performance of duties at the Miami campus. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
4.7 Termination. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for cause, the terminating party shall provide a detailed written statement of the grounds for termination. Upon termination, the University Lecturer shall complete all in-progress student evaluations and submit final course materials within ten (10) business days.
4.8 Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States, and the applicable federal regulations. Any disputes arising under this Purchase Order shall be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association.
4.9 Compliance. The University Lecturer warrants that he holds all necessary credentials, certifications, and background clearances required to deliver academic instruction in the State of Florida. The University Lecturer further warrants compliance with all applicable United States federal and Florida state anti-discrimination laws, including Title VI of the Civil Rights Act and the Florida Civil Rights Act of 1992.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This Purchase Order constitutes a binding agreement between the purchasing institution and the University Lecturer for the academic services described herein, to be performed at the Miami, Florida campus of the University of South Florida.
