- This Purchase Order constitutes a binding agreement between Metropolitan State University of New York and the named University Lecturer for the academic term commencing September 1, 2025, and concluding December 19, 2025, unless otherwise extended by mutual written consent.
- All services rendered under this Purchase Order shall be performed in United States New York City and its immediate metropolitan area. The University Lecturer shall be expected to be present on the university campus located at 1420 University Avenue, United States New York City, NY 10027, during all scheduled instructional hours.
- Payment shall be disbursed in monthly installments of $26,870.00, due on the last business day of each month (September through December 2025), via electronic funds transfer to the account designated by the University Lecturer.
- The University Lecturer shall comply with all institutional policies of Metropolitan State University of New York, including but not limited to the Faculty Code of Conduct, Academic Integrity Policy, and Equal Opportunity and Non-Discrimination guidelines as mandated by New York State Education Law.
- Any modifications, amendments, or cancellations to this Purchase Order must be executed in writing and signed by both parties. Verbal agreements shall not be enforceable under this document.
- The University Lecturer is engaged as an independent contractor for the purposes of this Purchase Order and shall be responsible for all applicable federal and New York State tax obligations, including but not limited to self-employment tax and New York State income tax withholding as required by the Internal Revenue Service and the New York State Department of Taxation and Finance.
- Intellectual property developed specifically for the university's curriculum under this Purchase Order shall be jointly owned by the institution and the University Lecturer, with full attribution rights reserved for the lecturer in all academic publications.
- This Purchase Order is governed by the laws of the State of New York, United States. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts located in New York County, United States New York City.
- The University Lecturer shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence throughout the duration of this engagement.
- Failure to meet the instructional obligations outlined in this Purchase Order for more than three (3) consecutive weeks without prior written notice and approved leave may result in termination of this agreement with a 30-day notice period.
