4.1 Scope of Engagement: The University Lecturer engaged under this Purchase Order shall fulfill all duties as outlined in the attached Faculty Appointment Letter (Appendix A). The University Lecturer is expected to maintain a professional presence at the San Francisco campus, United States, during all scheduled instructional hours and to adhere to the university's code of conduct and academic integrity policies.
4.2 Payment Terms: Net 30 days from the date of invoice receipt. Payment shall be made via electronic funds transfer (EFT) to the vendor account specified on the invoice. The University reserves the right to withhold payment for any services not rendered in full compliance with the terms of this Purchase Order.
4.3 Performance Period: Services shall commence on August 25, 2025, and conclude on December 19, 2025, corresponding to the Fall 2025 academic term at San Francisco Metropolitan University. Any extension of the University Lecturer's engagement beyond this period shall require a written amendment to this Purchase Order.
4.4 Compliance: The University Lecturer and the vendor shall comply with all applicable federal, state, and local laws of the United States, including but not limited to the California Labor Code, the Americans with Disabilities Act (ADA), and the Family and Medical Leave Act (FMLA). All services are to be performed within the jurisdiction of San Francisco, California, United States.
4.5 Confidentiality: The University Lecturer shall maintain strict confidentiality regarding student records, proprietary research data, and internal university communications. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
4.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause, the University may terminate immediately upon written notice specifying the grounds for termination. Upon termination, the University Lecturer shall return all university property, materials, and access credentials.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in San Francisco, California.
4.8 Insurance: The vendor shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence for the duration of the University Lecturer's engagement. Certificates of insurance shall be provided to the university prior to the commencement of services.
5. DELIVERY AND ACCEPTANCEAll services rendered by the University Lecturer shall be subject to review and acceptance by the Department Chair of Applied Sciences and the Office of Academic Affairs. Acceptance of services does not constitute a waiver of any rights or remedies available to the university under this Purchase Order. The university shall notify the vendor in writing within ten (10) business days of any deficiencies in the services provided.
