- Scope of Engagement: The University Lecturer shall perform all academic duties as outlined in this Purchase Order in accordance with the academic calendar of the Universidad Metropolitana de Caracas, Venezuela Caracas. All teaching activities shall be conducted at the main campus located in Chacao, Venezuela Caracas, unless otherwise authorized in writing by the Director of Academic Procurement.
- Payment Schedule: Compensation shall be disbursed on a monthly basis, with each payment due within thirty (30) calendar days following the end of the respective month. Payments shall be made in US Dollars (USD) via bank transfer to the account designated by the University Lecturer, in compliance with the foreign exchange regulations established by the Banco Central de Venezuela (BCV) and applicable Venezuelan fiscal law.
- Tax and Regulatory Compliance: The University Lecturer is responsible for the declaration and payment of all applicable income taxes (Impuesto Sobre la Renta — ISR) as mandated by the Servicio Nacional Integrado de Administración Aduanera y Fiscal (SENIAT) of Venezuela. The institution shall withhold the statutory percentage where required by Venezuelan tax law. All transactions under this Purchase Order are subject to the regulatory framework of Venezuela Caracas and the national education legislation of the República Bolivariana de Venezuela.
- Performance Standards: The University Lecturer shall maintain a minimum student satisfaction rating of 80% as measured by the institutional evaluation system. Failure to meet this standard for two consecutive evaluation periods shall constitute grounds for termination of this Purchase Order with thirty (30) days written notice.
- Intellectual Property: All course materials, syllabi, lecture notes, and academic content developed specifically for the Universidad Metropolitana de Caracas under this Purchase Order shall remain the property of the institution. The University Lecturer retains the right to use pre-existing materials and to publish research independently, provided that institutional confidentiality is maintained.
- Confidentiality: The University Lecturer agrees to maintain strict confidentiality regarding student records, institutional data, and proprietary academic content. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for cause, the institution reserves the right to withhold payment for services not yet rendered. Upon termination, the University Lecturer shall deliver all institutional materials, student records, and access credentials within five (5) business days.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the República Bolivariana de Venezuela. Any disputes arising from this agreement shall be resolved in the competent courts of Venezuela Caracas, specifically within the jurisdiction of the Tribunal de Primera Instancia en lo Civil, Mercantil y del Tránsito del Municipio Chacao.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, civil unrest, government decrees, or public health emergencies affecting Venezuela Caracas. Affected parties shall notify the other within forty-eight (48) hours of the occurrence.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by both the authorized representative of the Universidad Metropolitana de Caracas and the University Lecturer.
By signing below, the parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the University Lecturer at the Universidad Metropolitana de Caracas, Venezuela Caracas.
