This Purchase Order is issued by Andes Digital Solutions S.A. to formally engage the services of a qualified UX UI Designer for the development, redesign, and optimization of the company's flagship e-commerce platform. The UX UI Designer shall commence work on June 23, 2025, and the full engagement is expected to conclude by September 30, 2025. All on-site meetings, workshops, and usability testing sessions will take place at the buyer's office located in Argentina Córdoba, specifically at Av. Velez Sarsfield 1250. The UX UI Designer is expected to be available on-site a minimum of three (3) days per week during active design sprints.

Payment for the services rendered under this Purchase Order shall be made in four (4) equal installments, each due within fifteen (15) business days of the corresponding milestone acceptance. Payments will be processed via bank transfer to the account designated by the UX UI Designer. All amounts are denominated in Argentine Pesos (ARS) and are subject to applicable IVA (Impuesto al Valor Agregado) at the current rate of 21%, which shall be itemized on each invoice. The buyer reserves the right to withhold payment for any milestone not meeting the agreed acceptance criteria, pending a remediation period of ten (10) business days.

5.1 Intellectual Property. Upon full payment, all design assets, source files, design system components, and documentation created by the UX UI Designer shall become the exclusive property of Andes Digital Solutions S.A. The UX UI Designer retains the right to display completed work in a professional portfolio, subject to a 90-day embargo period post-launch.

5.2 Confidentiality. The UX UI Designer agrees to maintain strict confidentiality regarding all proprietary information, user data, and business strategies encountered during the engagement in Argentina Córdoba. This obligation survives the termination of this Purchase Order for a period of two (2) years.

5.3 Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the buyer shall compensate the UX UI Designer for all work completed and accepted up to the termination date.

5.4 Governing Law. This Purchase Order shall be governed by and interpreted in accordance with the laws of the Province of Córdoba, Argentina. Any disputes arising from this agreement shall be resolved through mediation in Argentina Córdoba before proceeding to the competent commercial courts.

5.5 Independent Contractor Status. The UX UI Designer is engaged as an independent professional and not as an employee of the buyer. The UX UI Designer is solely responsible for all applicable taxes, social security contributions, and professional insurance in accordance with Argentine labor and tax regulations.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a UX UI Designer in Argentina Córdoba. This document, once executed, becomes a binding procurement instrument for the duration of the project.
