This Purchase Order is issued by Harbour Digital Solutions Pty Ltd to engage the services of a qualified UX UI Designer based in Australia Sydney for the purpose of delivering comprehensive user experience and user interface design services. The UX UI Designer shall be responsible for conducting user research, wireframing, prototyping, visual interface design, usability testing, and the delivery of a complete design system for the Buyer's enterprise web application platform. All design deliverables shall be produced in accordance with Australian accessibility standards (WCAG 2.1 AA) and shall be delivered to the Buyer's designated office in Australia Sydney or via secure digital transfer as specified in the project timeline.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services described herein shall be performed by a dedicated UX UI Designer with a minimum of five (5) years of professional experience in digital product design.
2. All on-site work shall be conducted at the Buyer's premises located in Australia Sydney, NSW 2000, during standard business hours (09:00–17:00 AEST, Monday to Friday). The UX UI Designer shall comply with all workplace health and safety regulations applicable in Australia Sydney.
3. Payment shall be made via direct bank transfer to the Supplier's nominated Australian bank account within thirty (30) days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 1.5% per month as per Australian commercial practice.
4. All intellectual property rights in the design deliverables produced under this Purchase Order shall vest in the Buyer upon full payment. The UX UI Designer retains the right to display completed work in a professional portfolio, subject to the Buyer's prior written approval.
5. The Supplier shall maintain professional indemnity insurance with a minimum cover of AUD 5,000,000, valid throughout the duration of this Purchase Order and for a period of two (2) years thereafter.
6. Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination at the rates specified in Section 3.
7. This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Australia Sydney.
8. The UX UI Designer shall adhere to the Australian Privacy Principles (APPs) under the Privacy Act 1988 (Cth) when handling any user data collected during the research and testing phases in Australia Sydney.
9. All communications, revisions, and approvals related to this Purchase Order shall be conducted in English and documented in writing via email to the designated project contacts listed in Section 1.
