The UX UI Designer shall be responsible for conducting user research, creating wireframes, developing high-fidelity mockups, building interactive prototypes, establishing a design system, and providing ongoing design support throughout the product development lifecycle. All deliverables must comply with the accessibility standards established by Brazilian legislation, including the NBR 15236 and the WCAG 2.1 AA guidelines, ensuring full usability for the diverse user base in Brazil Brasília and across the Federal District.

1. This Purchase Order constitutes a binding agreement between NovaTech Digital Solutions Ltda. and DesignCraft Studio ME for the provision of UX UI Designer professional services exclusively within the jurisdiction of Brazil Brasília, Federal District.
2. The UX UI Designer shall dedicate a minimum of 32 hours per week to the project and shall be physically present at the Buyer's office in Brazil Brasília for all user research sessions, usability testing workshops, and design review meetings.
3. All intellectual property rights, including but not limited to wireframes, mockups, prototypes, design tokens, and design system documentation, shall be transferred to the Buyer upon full payment of this Purchase Order.
4. The Supplier guarantees that the UX UI Designer assigned to this engagement holds a minimum of five (5) years of professional experience in user experience and user interface design, with a verifiable portfolio of enterprise-level projects.
5. Payment shall be processed via bank transfer (TED) to the account designated by the Supplier. Invoices must be submitted in accordance with Brazilian tax regulations (Nota Fiscal Eletrônica – NF-e) and issued under the Supplier's CNPJ registered in Brazil Brasília.
6. Any scope changes exceeding 10% of the originally contracted hours require a written amendment to this Purchase Order, signed by both parties, before additional work commences.
7. The Supplier shall comply with all applicable labor laws of Brazil, including the CLT (Consolidação das Leis do Trabalho) where applicable, and shall maintain all necessary professional liability insurance valid in the Federal District of Brasília.
8. Confidentiality: The UX UI Designer shall sign a Non-Disclosure Agreement (NDA) prior to accessing any proprietary data, user information, or internal systems of the Buyer. All project materials remain the exclusive property of NovaTech Digital Solutions Ltda.
9. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall compensate the Supplier for all hours worked and approved deliverables up to the termination date.
10. Dispute resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Brazil Brasília, in accordance with the rules of the Câmara de Arbitragem do Distrito Federal, under the laws of the Federative Republic of Brazil.
