This Purchase Order is issued by Horizonte Digital S.A. to formally request and authorize the procurement of specialized UX UI Designer services to be rendered in Brazil, Rio de Janeiro. The selected UX UI Designer shall be responsible for the complete design lifecycle of the company's new e-commerce platform, encompassing user research, information architecture, wireframing, visual interface design, prototyping, usability testing, and design system development. All deliverables must comply with Brazilian accessibility standards (NBR 15536) and the local digital inclusion regulations applicable in the state of Rio de Janeiro.

The UX UI Designer engaged under this Purchase Order shall deliver all work products in Figma format with full source files, annotated specifications, and a comprehensive design system documentation package. The engagement is based in Rio de Janeiro, Brazil, and the UX UI Designer is expected to conduct in-person workshops, usability testing sessions, and stakeholder reviews at the Buyer's headquarters located in the Centro district of Rio de Janeiro. Remote collaboration via video conferencing is permitted for interim check-ins, but a minimum of 60% of working hours must be performed on-site in Brazil, Rio de Janeiro, to ensure cultural alignment with the local user base and adherence to regional design conventions.

• Contract Duration: The UX UI Designer engagement shall commence on July 1, 2025, and conclude on December 15, 2025, unless extended by mutual written agreement.
• Payment Schedule: 30% upon Purchase Order acceptance, 40% upon delivery of high-fidelity designs, and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer (TED/PIX) to the account specified by the Seller.
• Intellectual Property: Upon full payment, all UX UI Designer work products, including but not limited to wireframes, visual designs, prototypes, and design system assets, shall become the exclusive property of Horizonte Digital S.A. The UX UI Designer retains the right to display the work in a professional portfolio with prior written consent.
• Confidentiality: The UX UI Designer agrees to maintain strict confidentiality regarding all proprietary information, user data, and business strategies disclosed during the engagement in Brazil, Rio de Janeiro, in compliance with the Brazilian General Data Protection Law (LGPD — Lei Geral de Proteção de Dados, Law No. 13.709/2018).
• Revisions: Each deliverable phase includes up to three (3) rounds of revisions. Additional revision cycles beyond the included amount shall be billed at R$ 850.00 per hour for the UX UI Designer's time.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall pay for all services rendered up to the termination date, plus applicable taxes.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Rio de Janeiro, RJ.
• Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Brazil, Rio de Janeiro.
