This Purchase Order is issued by Horizonte Digital Solutions Ltda. to formally authorize and request the engagement of a qualified UX UI Designer to deliver comprehensive user experience and user interface design services. The scope of work is to be executed in Brazil São Paulo, where the vendor's primary design studio is located and where all collaborative workshops, client presentations, and on-site deliverable reviews shall take place.

The UX UI Designer engaged under this Purchase Order will be responsible for conducting user research, creating wireframes, developing high-fidelity interactive prototypes, establishing design systems, and delivering final production-ready interface assets for Horizonte Digital Solutions' flagship e-commerce platform redesign. All work will be performed in accordance with the design standards and accessibility guidelines applicable in Brazil São Paulo and in compliance with Brazilian consumer protection regulations (Código de Defesa do Consumidor – CDC).

* All prices are in Brazilian Reais (BRL) and inclusive of applicable ICMS tax. No additional charges will be incurred for on-site meetings conducted within the Brazil São Paulo metropolitan area.

1. Scope & Deliverables: The UX UI Designer shall deliver all work products as specified in the attached Statement of Work (SOW-2025-04782-A). All deliverables must be approved in writing by the Buyer's Product Director before the next phase commences.
2. Location of Services: All on-site activities, including user research sessions, design workshops, and stakeholder presentations, shall be conducted at the Buyer's office located in Brazil São Paulo (Av. Paulista, 1578) or at the Vendor's studio in Brazil São Paulo (Rua Oscar Freire, 890), as mutually agreed upon for each session.
3. Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon approval of high-fidelity designs, and 30% upon final acceptance of all deliverables. Payments will be made via bank transfer (TED) to the Vendor's account in BRL.
4. Timeline: The UX UI Designer shall complete all phases within a total of 14 weeks from the date of this Purchase Order. A detailed Gantt chart is attached as Appendix B.
5. Intellectual Property: Upon full payment, all design assets, source files, and documentation created by the UX UI Designer shall become the exclusive property of Horizonte Digital Solutions Ltda. The Vendor retains the right to display the work in their portfolio with prior written consent.
6. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the engagement. This clause shall survive the termination of this Purchase Order for a period of three (3) years.
7. Revisions: Each design phase includes up to three (3) rounds of revisions. Additional revision cycles will be billed at R$ 1,200.00 per hour for the UX UI Designer's time.
8. Termination: Either party may terminate this Purchase Order with 15 days' written notice. In the event of early termination, the Buyer shall pay for all work completed up to the termination date.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brazil São Paulo, State of São Paulo.

Final acceptance of the UX UI Designer's deliverables under this Purchase Order shall be confirmed when: (a) all 45+ screens are delivered in production-ready format; (b) the design system documentation is complete and accessible; (c) usability testing results demonstrate a task completion rate of 85% or higher; and (d) the Buyer's QA team confirms zero critical visual defects. Acceptance will be documented via a signed Acceptance Certificate to be executed in Brazil São Paulo.
