This Purchase Order authorizes the engagement of a qualified UX UI Designer to deliver comprehensive user experience and user interface design services for NovaTech Digital Solutions Inc. The UX UI Designer shall be based in or operate primarily within the Canada Montreal metropolitan area and shall comply with all applicable federal and provincial design, accessibility, and intellectual property standards.

1. Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the vendor. The vendor shall confirm acceptance of this Purchase Order within five (5) business days of receipt.
2. Delivery & Location: All services under this Purchase Order shall be performed by the UX UI Designer primarily in the Canada Montreal region. On-site meetings, workshops, and presentations shall take place at the buyer's office located in Canada Montreal unless otherwise agreed in writing.
3. Intellectual Property: Upon full payment, all design assets, source files, wireframes, prototypes, and documentation created by the UX UI Designer shall become the sole property of NovaTech Digital Solutions Inc. The vendor retains the right to display completed work in a professional portfolio with prior written consent.
4. Confidentiality: The UX UI Designer agrees to maintain strict confidentiality regarding all proprietary information, user data, and business strategies disclosed during the engagement in Canada Montreal. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A.
5. Payment Schedule: 30% upon Purchase Order acceptance, 40% upon delivery of UI design and wireframing deliverables, 20% upon completion of design system handoff, and 10% upon final acceptance of all services. Invoices shall be submitted in Canadian Dollars (CAD) and are payable within thirty (30) days of the invoice date.
6. Revisions: Two (2) rounds of revisions are included per line item. Additional revision cycles shall be billed at the UX UI Designer's standard hourly rate of CAD $125.00 per hour.
7. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of early termination, the buyer shall pay for all services rendered up to the termination date.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of Quebec and the federal laws of Canada. Any disputes shall be resolved through arbitration in Canada Montreal in accordance with the rules of the Quebec Arbitration Association.
9. Compliance: The UX UI Designer warrants that all deliverables shall comply with applicable Canadian accessibility standards, Quebec Bill 96 language requirements, and all relevant federal and provincial regulations applicable to digital design services in Canada Montreal.
10. Warranty: The vendor warrants that all design deliverables shall be free from defects in workmanship and shall conform to the specifications outlined in this Purchase Order for a period of ninety (90) days from the date of final acceptance.
