This Purchase Order is issued by Pacific Northwest Digital Solutions Inc. to formally engage the services of a qualified UX UI Designer for the development, design, and implementation of user experience and user interface solutions for our enterprise digital platform. The engagement is based in Canada Vancouver and will be conducted in accordance with the scope, deliverables, and timelines outlined in this document.
The UX UI Designer shall be responsible for conducting comprehensive user research, creating wireframes and interactive prototypes, designing responsive visual interfaces, establishing design systems, and ensuring accessibility compliance in alignment with Canadian digital standards. All work products will be tailored to the specific market needs of the Canada Vancouver technology sector and its diverse user base.

- Payment shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the account designated by the UX UI Designer service provider.
- 40% of the total Purchase Order value is due upon execution of this document.
- 30% is due upon completion of Milestone 2 (UI Design delivery).
- 30% is due upon final acceptance of all deliverables at Milestone 4.
- All invoices are payable within thirty (30) calendar days of receipt. Late payments shall incur interest at 1.5% per month as per the Canada Vancouver commercial standards.
- The Buyer reserves the right to withhold payment for any deliverable that does not meet the acceptance criteria defined in this Purchase Order.
- This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in Canada Vancouver.
- The UX UI Designer shall maintain professional liability insurance with a minimum coverage of CAD $2,000,000 for the duration of the engagement.
- All intellectual property created under this Purchase Order shall be the sole property of Pacific Northwest Digital Solutions Inc. upon full payment. The UX UI Designer retains the right to display completed work in a professional portfolio with prior written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, user data, and business strategies shared during the engagement in Canada Vancouver. This obligation survives for three (3) years beyond project completion.
- The UX UI Designer shall comply with all applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA), when handling user research data.
- Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date.
- Disputes arising from this Purchase Order shall be resolved through mediation in Canada Vancouver before proceeding to arbitration under the rules of the British Columbia International Commercial Arbitration Centre (BCICAC).
- This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the engagement of the UX UI Designer.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the UX UI Designer services in Canada Vancouver.
