The UX UI Designer will be responsible for conducting user research, creating wireframes, developing high-fidelity mockups, building an interactive prototype, and establishing a complete design system that aligns with the brand identity and the cultural context of the Colombia Medellín user base.

• 3.1 – This Purchase Order constitutes a binding agreement between Andina Digital Solutions S.A.S. (hereinafter "the Buyer") and the designated UX UI Designer (hereinafter "the Vendor") for the provision of design services as described herein. Both parties acknowledge that the primary work location will be the Buyer's office in Colombia Medellín, with a hybrid schedule of three (3) days on-site and two (2) days remote per week.
• 3.2 – The UX UI Designer shall deliver all project milestones in accordance with the project timeline attached as Annex A. Each milestone deliverable must be approved in writing by the Buyer's Product Design Lead before the next phase commences. Failure to meet a milestone deadline by more than five (5) business days without prior written justification may result in a penalty of 2% of the affected line item per day of delay.
• 3.3 – All intellectual property, including but not limited to wireframes, mockups, design system components, prototypes, and research documentation created under this Purchase Order, shall be the exclusive property of Andina Digital Solutions S.A.S. upon full payment. The UX UI Designer retains the right to display the work in a professional portfolio only after the product has been publicly launched in the Colombia Medellín market.
• 3.4 – Payment shall be made via bank transfer to the Vendor's account in Colombian Pesos (COP) within thirty (30) calendar days of the Buyer's written acceptance of each milestone invoice. The Vendor is required to issue a formal electronic invoice (factura electrónica) compliant with the DIAN (Dirección de Impuestos y Aduanas Nacionales) regulations of Colombia.
• 3.5 – The UX UI Designer agrees to maintain strict confidentiality regarding all proprietary information, user data, and business strategies of the Buyer. A separate Non-Disclosure Agreement (NDA) has been executed on June 10, 2025, and remains in full force for a period of three (3) years following the completion of this Purchase Order.
• 3.6 – The Vendor shall comply with all applicable labor, tax, and social security obligations under Colombian law. As an independent contractor registered with a valid NIT in Colombia Medellín, the Vendor is responsible for their own Régimen de Seguridad Social (health, pension, and ARL contributions) and any applicable withholding taxes (retención en la fuente).
• 3.7 – Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and milestones accepted up to the termination date. The UX UI Designer shall deliver all work-in-progress files and documentation within ten (10) business days of the termination notice.
• 3.8 – This agreement shall be governed by and construed in accordance with the commercial laws of the Republic of Colombia. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Colombia Medellín, in accordance with the rules of the Cámara de Comercio de Medellín.
