This Purchase Order authorizes the engagement of a qualified UX UI Designer to deliver comprehensive user experience and user interface design services for the buyer's digital platform project. • Primary Work Location: All on-site activities, including user research interviews, design workshops, and usability testing sessions, shall take place at the buyer's premises in Gombe, Kinshasa, DR Congo, or at the UX UI Designer's studio in Lemba, Kinshasa, DR Congo, as mutually agreed.
• Deliverable Format: All design files shall be delivered in Figma, Adobe XD, and PDF formats. Source files and project repositories shall be transferred via secure cloud storage accessible from DR Congo Kinshasa.

• This Purchase Order is governed by the laws of the Democratic Republic of the Congo, particularly the Code de Commerce and applicable intellectual property statutes in force in DR Congo Kinshasa.
• The UX UI Designer warrants that all deliverables shall be original, free from third-party intellectual property claims, and shall not infringe upon any existing patents, copyrights, or trademarks.
• Upon full payment, all intellectual property rights to the final design deliverables shall transfer exclusively to the buyer. The UX UI Designer retains the right to display completed work in a professional portfolio, subject to a 90-day confidentiality period.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all work completed and accepted up to the termination date.
• The UX UI Designer shall comply with all applicable labor, tax, and professional licensing regulations in DR Congo Kinshasa. Any required permits or professional registrations shall be maintained by the service provider.
• Disputes arising from this Purchase Order shall first be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the competent commercial court in Kinshasa, DR Congo.
• This Purchase Order constitutes the entire agreement between the parties regarding the UX UI Designer engagement and supersedes all prior negotiations, representations, or agreements.
