This Purchase Order is issued by Nile Digital Solutions S.A.E. to formally authorize the procurement of professional UX UI Designer services to be delivered and executed within the city of Egypt Alexandria. The engagement is intended to support the redesign and development of our enterprise-level customer portal, "NileConnect," which serves over 120,000 active users across the Mediterranean region. The selected UX UI Designer will be responsible for the complete user experience and user interface design lifecycle, from initial research and wireframing through to high-fidelity prototyping, design system creation, and developer handoff documentation.

• 3.1 This Purchase Order constitutes a binding agreement between Nile Digital Solutions S.A.E. and Creative Interface Studio LLC for the provision of UX UI Designer services as described herein. All work shall be performed primarily at the client's premises located in Egypt Alexandria, Smouha Business Park, unless otherwise agreed in writing.
• 3.2 The UX UI Designer shall maintain full confidentiality regarding all proprietary data, user information, and business strategies encountered during the engagement. A separate Non-Disclosure Agreement (NDA) has been executed on June 5, 2025, and remains in full force for a period of three (3) years following project completion.
• 3.3 All intellectual property rights, including but not limited to design files, prototypes, design system documentation, and source assets, shall be transferred exclusively to Nile Digital Solutions S.A.E. upon full payment of this Purchase Order. The vendor retains no right to reuse, reproduce, or display the deliverables for any other client.
• 3.4 The vendor is required to submit weekly progress reports every Friday by 17:00 EET (Eastern European Time) to the project manager. Failure to submit reports for two consecutive weeks shall be considered a material breach of this Purchase Order.
• 3.5 Any changes to the scope of work beyond the deliverables listed in Section 2 must be approved in writing via a formal Change Order. No additional fees shall be incurred without prior written authorization from the procurement department in Egypt Alexandria.
• 3.6 The vendor shall comply with all applicable Egyptian labor laws, data protection regulations (Law No. 151 of 2020), and professional standards governing design services in Egypt Alexandria. The vendor is responsible for all applicable taxes, including Value Added Tax (VAT) at the prevailing rate of 14%.
• 3.7 In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail within thirty (30) days, the matter shall be referred to arbitration under the rules of the Egyptian Arbitration Center, with proceedings held in Egypt Alexandria.
• 3.8 This Purchase Order is valid for a period of ninety (90) days from the date of issue. If the vendor does not accept and return a signed copy within this period, the Purchase Order shall automatically lapse and become null and void.

Each deliverable listed in Section 2 shall be subject to a formal acceptance review conducted by the client's product team. The UX UI Designer shall have a maximum of five (5) business days to address any revision requests following the initial submission. Final acceptance of all deliverables shall be confirmed in writing by the Project Director. The total project timeline of sixteen (16) weeks is calculated from the date of the first working day following the execution of this Purchase Order.
