This Purchase Order is issued by Horn of Africa Digital Solutions PLC to formally engage the services of a qualified UX UI Designer based in Ethiopia Addis Ababa. The purpose of this engagement is to design, prototype, and deliver a comprehensive user experience and user interface framework for the company's new digital banking platform, "HabeshaPay," which will serve over two million customers across Ethiopia. The UX UI Designer shall be responsible for all aspects of the design process, including user research, information architecture, wireframing, visual design, interactive prototyping, usability testing, and final design handoff to the development team.

- 3.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the UX UI Designer upon signature by both parties. All work shall be performed in accordance with the scope defined herein and applicable Ethiopian commercial law.
- 3.2 The UX UI Designer shall maintain all project files, source assets, and documentation in a shared cloud repository accessible to the Purchasing Entity. Upon final payment, all intellectual property rights to the deliverables shall transfer exclusively to Horn of Africa Digital Solutions PLC.
- 3.3 The UX UI Designer is expected to be physically present at the Bole Road office in Ethiopia Addis Ababa a minimum of three (3) days per week for collaborative workshops, stakeholder meetings, and usability testing sessions. Remote work is permitted for the remaining days.
- 3.4 All deliverables shall be subject to a five (5) business-day review period by the Purchasing Entity. Revisions within the agreed scope (up to two rounds per milestone) are included in the Purchase Order pricing. Additional revision cycles shall be billed at ETB 8,000 per day.
- 3.5 The UX UI Designer shall comply with all data protection regulations under the Ethiopian Data Protection Proclamation (No. 1152/2019) when handling user research data collected in Ethiopia Addis Ababa and other regions.
- 3.6 Payment shall be processed within fourteen (14) calendar days of invoice submission. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Ethiopian banking regulations.
- 3.7 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the UX UI Designer shall be compensated for all work completed up to the termination date, and all source files shall be delivered to the Purchasing Entity.
- 3.8 The UX UI Designer warrants that all design work shall be original, free from third-party intellectual property claims, and shall not incorporate any unlicensed fonts, icons, or stock imagery without prior written consent.
- 3.9 Disputes arising from this Purchase Order shall be resolved through mediation in Addis Ababa, Ethiopia, in accordance with the Ethiopian Arbitration and Conciliation Proclamation (No. 1271/2021). The governing law shall be the laws of the Federal Democratic Republic of Ethiopia.
- 3.10 The UX UI Designer shall carry professional liability insurance with a minimum coverage of ETB 5,000,000 for the duration of this engagement, valid throughout Ethiopia Addis Ababa and all project locations.
The final deliverables under this Purchase Order shall be deemed accepted when the UX UI Designer has provided: (a) a complete Figma file library containing all screens, components, and design tokens; (b) a written design system documentation in both English and Amharic; (c) a usability testing report summarizing findings from sessions conducted in Ethiopia Addis Ababa; and (d) a developer handoff package including annotated specifications, asset exports in required formats, and a recorded walkthrough session for the engineering team.
This Purchase Order is authorized and approved by the undersigned representatives of both parties. By signing below, each party acknowledges and agrees to all terms, conditions, and obligations set forth in this document regarding the engagement of the UX UI Designer for the HabeshaPay digital platform project in Ethiopia Addis Ababa.
