3. Scope of Services – UX UI Designer Engagement

This Purchase Order is issued to formally authorize the procurement of specialized UX UI Designer services to be delivered on-site and remotely within the France Lyon metropolitan area. The engagement covers the full design lifecycle for the company's flagship e-commerce platform redesign, including user research, wireframing, interactive prototyping, visual interface design, design system architecture, and usability testing. The UX UI Designer shall be embedded within the client's product team located at the France Lyon headquarters for a minimum of three (3) days per week, with the remaining time allocated to remote collaborative work.

The selected UX UI Designer must demonstrate a minimum of seven (7) years of professional experience in digital product design, with a verifiable portfolio showcasing at least five (5) completed projects of comparable scope. Fluency in French and English is mandatory, as all stakeholder meetings, design reviews, and documentation will be conducted in both languages within the France Lyon office environment.

5. Terms and Conditions

Payment Terms: Payment shall be made in three (3) equal installments: 30% upon acceptance of this Purchase Order, 40% upon completion of the High-Fidelity UI Design phase, and 30% upon final project sign-off. All payments shall be processed via bank transfer to the supplier's account registered in France Lyon.
Delivery Location: All on-site deliverables, design reviews, and collaborative workshops shall take place at the buyer's premises in France Lyon (42 Quai de Serbie, 69009). The UX UI Designer is expected to be physically present in France Lyon for a minimum of 15 working days per month.
Intellectual Property: All design assets, wireframes, prototypes, design system components, and documentation produced under this Purchase Order shall become the exclusive property of Alpine Digital Solutions SAS upon full payment. The UX UI Designer and PixelCraft Design Studio SARL retain no rights to reuse, reproduce, or license these materials for third parties.
Confidentiality: The UX UI Designer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All project data, user research findings, and business strategies discussed within the France Lyon office are classified as confidential and shall not be disclosed to any external party.
Compliance: The supplier shall comply with all applicable French labor laws, data protection regulations (GDPR), and professional standards governing design services in France Lyon. The UX UI Designer must hold valid professional liability insurance with a minimum coverage of €1,000,000.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the buyer shall pay for all services rendered up to the termination date, plus a 10% administrative fee.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in France Lyon before proceeding to the competent commercial courts of Lyon, France.
Acceptance Criteria: Each phase deliverable must be approved in writing by the Project Manager before the next phase commences. The UX UI Designer shall incorporate up to two (2) rounds of revisions per phase at no additional cost.
