The UX UI Designer engaged under this Purchase Order shall be based in or operate primarily from the France Marseille metropolitan area to ensure proximity to our client-facing teams, local stakeholder workshops, and the regional digital ecosystem. All deliverables must reflect an understanding of the French digital market, accessibility standards (RGAA / WCAG 2.1 AA), and the specific user expectations of the France Marseille business community.

- Payment shall be made via bank transfer (virement) to the IBAN specified in Section 1 within 30 days of invoice receipt, in accordance with French commercial law (Code de commerce, Article L441-6).
- 30% advance payment upon acceptance of this Purchase Order by the UX UI Designer vendor.
- 40% upon completion and acceptance of Line Items 01 through 03.
- 30% upon final delivery, acceptance of all deliverables, and submission of the RGAA compliance report.
- All invoices must reference this Purchase Order number (PO-2025-FRM-00472) and include the vendor's SIRET and TVA identification.
- This Purchase Order is governed by the laws of the French Republic. Any disputes shall be resolved by the competent courts of Marseille, Bouches-du-Rhône.
- The UX UI Designer shall maintain full intellectual property assignment to Provence Digital Solutions SARL upon full payment. All source files, design tokens, and documentation become the exclusive property of the buyer.
- The vendor shall comply with all applicable French data protection regulations (GDPR / RGPD) when handling user research data collected in France Marseille.
- The UX UI Designer is required to conduct a minimum of 60% of all workshop and testing activities in person at the buyer's premises in France Marseille (13001 or 13007 postal codes).
- Confidentiality: Both parties agree to a mutual Non-Disclosure Agreement (NDA) valid for 24 months from the date of this Purchase Order.
- Force Majeure: Standard French force majeure provisions apply. Delays exceeding 15 business days due to force majeure events in the France Marseille region shall be addressed by mutual written agreement.
- Termination: Either party may terminate this Purchase Order with 15 days' written notice. In such case, the UX UI Designer shall be compensated for all work completed and accepted up to the termination date.
- Warranty: The UX UI Designer warrants that all deliverables are original, free of third-party IP infringement, and fit for the intended purpose as described in this document.
All deliverables under this Purchase Order shall be deemed accepted only after written sign-off by the Project Director of Provence Digital Solutions SARL. The UX UI Designer shall submit deliverables in the agreed format (Figma, PDF, and source files) to the designated project email. A 5-business-day review period applies before acceptance or a formal request for revisions is issued. Revisions limited to two rounds per line item are included in the pricing above.
