This Purchase Order is issued by Lumière Digital Solutions SAS to formally request and authorize the procurement of professional UX UI Designer services to be delivered in France Paris. The engagement covers the full design lifecycle for the buyer's new enterprise customer portal, including user research, information architecture, wireframing, visual interface design, prototyping, usability testing, and design system documentation. The UX UI Designer shall operate primarily from the supplier's studio located in the 1st arrondissement of Paris, France, with on-site collaboration sessions at the buyer's headquarters in the 8th arrondissement of Paris, France, no fewer than three (3) days per week throughout the contract period.

4.1 Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. The buyer shall issue a 20% advance payment upon acceptance of this Purchase Order, with the remaining 80% payable in monthly installments aligned to the project milestones outlined in Section 3. All payments shall be processed via SEPA bank transfer to the supplier's account in France Paris.

4.2 Delivery and Location: All deliverables under this Purchase Order shall be produced and delivered in France Paris. The UX UI Designer is expected to maintain a physical presence in the Paris metropolitan area for the duration of the engagement. Remote work from outside the France Paris region is not permitted without prior written consent from the buyer's procurement department.

4.3 Intellectual Property: Upon full payment, all design assets, source files, wireframes, prototypes, and documentation created by the UX UI Designer under this Purchase Order shall become the exclusive property of Lumière Digital Solutions SAS. The supplier retains the right to display anonymized work samples in their professional portfolio.

4.4 Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the execution of this Purchase Order. This obligation shall survive the termination of the contract for a period of three (3) years.

4.5 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the buyer shall compensate the supplier for all work completed up to the termination date, as documented in the most recent progress report.

4.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts of Paris, France.

4.7 Compliance: The supplier warrants that the UX UI Designer engaged under this Purchase Order holds valid professional qualifications and that all work shall comply with applicable French labor regulations, accessibility standards (RGAA – Référentiel Général d'Amélioration de l'Accessibilité), and the European Accessibility Act.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of UX UI Designer services in France Paris.
