• 5.1 This Purchase Order constitutes a binding agreement between Nordwind Digital Solutions GmbH (hereinafter "Buyer") and PixelCraft Studio UG (hereinafter "Seller / UX UI Designer Provider") upon written acceptance by both parties.
• 5.2 All services rendered by the UX UI Designer shall be performed in a professional and diligent manner consistent with industry best practices in Germany Berlin and the broader German digital design sector.
• 5.3 Payment shall be made via SEPA bank transfer to the IBAN specified in Section 1 within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate under § 288 of the German Civil Code (BGB).
• 5.4 The UX UI Designer retains full intellectual property rights over all pre-existing design tools, methodologies, and proprietary frameworks. All newly created design deliverables, including but not limited to wireframes, UI mockups, design tokens, and prototypes, shall transfer to the Buyer upon full payment of this Purchase Order.
• 5.5 The UX UI Designer shall comply with all applicable data protection obligations under the GDPR (DSGVO) and the German Federal Data Protection Act (BDSG) when handling any personal data of end-users during research and testing phases conducted in Germany Berlin.
• 5.6 Either party may terminate this Purchase Order with a written notice period of fourteen (14) calendar days. In the event of early termination, the Buyer shall compensate the UX UI Designer for all work completed up to the termination date, pro-rated accordingly.
• 5.7 This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
• 5.8 The UX UI Designer shall provide a minimum of two (2) weeks of post-delivery support for design-related queries and minor revisions at no additional cost.
• 5.9 All communications regarding this Purchase Order shall be conducted in English or German. In the event of any discrepancy between language versions, the German-language version shall prevail.
• 5.10 The UX UI Designer warrants that all deliverables shall be original work, free from third-party intellectual property claims, and suitable for commercial use within the Germany Berlin market and the wider European Economic Area.

By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of the UX UI Designer services as described herein. This document is valid for a period of thirty (30) days from the date of issue, after which it shall lapse unless renewed in writing.
