The UX UI Designer engaged under this Purchase Order shall deliver the following to the buyer's project manager within the timelines specified in the attached Statement of Work:
- A comprehensive User Research Report including personas, journey maps, and pain-point analysis specific to the Ghana Accra consumer base.
- Complete wireframe sets for all 45+ screens in both mobile and desktop formats, delivered in Figma.
- A fully documented UI Design System including a minimum of 120 reusable components, design tokens, and a 40-page style guide.
- Interactive high-fidelity prototypes with annotated micro-interactions and transition specifications.
- Usability testing reports from a minimum of 12 moderated sessions conducted in Ghana Accra, with actionable recommendations.
- Final developer-ready asset packages, annotated specifications, and a 30-day post-launch support window.
- Acceptance: This Purchase Order becomes binding upon written acceptance by CreativePixel Design Studio. The vendor must return a signed copy within five (5) business days of receipt.
- Payment Schedule: 30% advance upon Purchase Order acceptance; 40% upon delivery of the Design System and prototypes; 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the vendor's account in Ghana Accra.
- Intellectual Property: All work product, including but not limited to wireframes, design files, prototypes, and the design system, shall become the sole property of TechNova Solutions Ltd. upon full payment. The UX UI Designer and CreativePixel Design Studio retain no rights to reuse, reproduce, or license the deliverables for third parties.
- Confidentiality: The vendor and the assigned UX UI Designer agree to maintain strict confidentiality regarding all proprietary information, user data, and business strategies disclosed during the engagement in Ghana Accra. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A.
- Revisions: Each phase includes two (2) rounds of revisions. Additional revision cycles beyond the included rounds shall be billed at GHS 1,200 per hour for the UX UI Designer's time.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of early termination, the buyer shall pay for all work completed and accepted up to the termination date.
- Compliance: The vendor shall comply with all applicable laws of the Republic of Ghana, including the Data Protection Act, 2012 (Act 843), and the Ghana Revenue Authority tax regulations. The UX UI Designer must hold valid work authorization in Ghana Accra.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Ghana Accra, and if unresolved, through arbitration under the rules of the Ghana Arbitration Centre.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Ghana Accra, or pandemics.
