This Purchase Order is issued by Meridian Digital Solutions Pvt. Ltd. to PixelCraft Design Studio LLP for the engagement of a senior UX UI Designer to deliver comprehensive user experience and user interface design services. The UX UI Designer shall be physically based in India Bangalore and will report to the Product Design team at the buyer's Whitefield office. The scope of work encompasses end-to-end design deliverables including user research, information architecture, wireframing, interactive prototyping, visual design systems, usability testing, and handoff documentation for the development team.

The UX UI Designer is expected to possess a minimum of seven (7) years of professional experience in designing digital products for SaaS platforms, mobile applications, and enterprise web interfaces. Proficiency in Figma, Adobe Creative Suite, and prototyping tools is mandatory. The UX UI Designer will work full-time (40 hours per week) from the India Bangalore office location, Monday through Friday, with a standard working schedule of 9:30 AM to 6:30 PM IST.

• Payment shall be made on a monthly basis within fifteen (15) calendar days of receipt of a valid tax invoice from the vendor.
• The first payment of INR 5,07,400 (inclusive of GST) shall be due within 15 days of the commencement date of the UX UI Designer engagement.
• All payments shall be processed via NEFT/RTGS to the vendor's designated bank account in India Bangalore.
• A 10% retention shall be withheld from each monthly invoice and released upon successful completion of the final deliverable milestone.
• Late payments shall attract interest at the rate of 1.5% per month on the outstanding amount.

• This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon acceptance and signature by both parties.
• The UX UI Designer shall comply with all applicable Indian labor laws, data protection regulations (including the Digital Personal Data Protection Act, 2023), and the buyer's internal code of conduct while working at the India Bangalore office.
• All intellectual property, design assets, source files, and documentation created by the UX UI Designer during the course of this engagement shall be the exclusive property of Meridian Digital Solutions Pvt. Ltd.
• The Vendor shall ensure that the UX UI Designer maintains strict confidentiality regarding all proprietary information, product roadmaps, and user data encountered during the engagement in India Bangalore.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Vendor shall be compensated for all work completed up to the termination date.
• The UX UI Designer shall attend all scheduled design reviews, sprint planning meetings, and stakeholder presentations as required by the project timeline.
• Any changes to the scope of work must be documented in a formal change order signed by both parties before execution.
• This Purchase Order is governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in India Bangalore.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations outlined in this Purchase Order for the engagement of the UX UI Designer at the India Bangalore office location.
