3. Scope of Work — UX UI Designer Engagement

This Purchase Order is issued to formally engage a qualified UX UI Designer to deliver comprehensive user experience and user interface design services for the buyer's flagship e-commerce platform. The UX UI Designer shall be based in India Mumbai and is expected to work primarily from the buyer's office located in Bandra Kurla Complex, Mumbai, with a minimum of four (4) days per week on-site. The remaining work may be performed remotely from the UX UI Designer's registered studio in Lower Parel, India Mumbai.

The scope of work encompasses the following deliverables:

4. Terms and Conditions

Acceptance: This Purchase Order shall become binding upon written acceptance by the UX UI Designer or their authorized representative. The UX UI Designer must sign and return a copy of this Purchase Order within five (5) business days of receipt.
Location of Work: All on-site work shall be conducted in India Mumbai. The UX UI Designer is expected to be physically present at the buyer's Mumbai office during agreed working hours (10:00 AM to 7:00 PM IST, Monday through Friday).
Intellectual Property: All design deliverables, source files, prototypes, and documentation created under this Purchase Order shall become the exclusive property of Apex Digital Solutions Pvt. Ltd. upon full payment. The UX UI Designer retains the right to display the work in a professional portfolio with prior written consent.
Confidentiality: The UX UI Designer shall maintain strict confidentiality regarding all proprietary information, user data, and business strategies encountered during the engagement in India Mumbai. A separate Non-Disclosure Agreement (NDA) is attached as Annexure A.
Payment Schedule: Payment shall be made in three (3) milestones: 30% upon Purchase Order acceptance, 40% upon delivery of high-fidelity UI designs, and 30% upon final acceptance of all deliverables. All payments shall be processed via NEFT/RTGS to the bank account specified by the UX UI Designer.
Revisions: The Purchase Order includes up to three (3) rounds of revisions per deliverable. Additional revision cycles beyond the included rounds shall be billed at INR 15,000 per round, subject to mutual written agreement.
Termination: Either party may terminate this Purchase Order with a written notice of fourteen (14) days. In the event of termination, the UX UI Designer shall be compensated for all work completed up to the date of termination, pro-rated accordingly.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
Compliance: The UX UI Designer warrants that all work shall comply with applicable Indian design standards, accessibility guidelines (WCAG 2.1 AA), and any relevant regulations applicable to digital products operating in India Mumbai and the broader Indian market.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in India Mumbai.

5. Acceptance & Signatures

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations outlined in this Purchase Order for the engagement of the UX UI Designer in India Mumbai.
