This Purchase Order is issued by Meridian Digital Solutions Pvt. Ltd. to engage the services of a qualified UX UI Designer based in India New Delhi for the purpose of designing, prototyping, and delivering comprehensive user experience and user interface solutions for the company's flagship e-commerce platform and mobile application. The UX UI Designer shall be responsible for conducting user research, creating wireframes, developing high-fidelity mockups, building interactive prototypes, establishing design systems, and ensuring accessibility compliance in accordance with Indian digital standards.

The UX UI Designer shall commence work on 1 July 2025 at the buyer's office located in India New Delhi. The total engagement period is estimated at 14 weeks, with a final delivery deadline of 17 October 2025. All milestones and interim deliverables must be submitted to the project manager at Meridian Digital Solutions for review and approval before proceeding to the next phase. The UX UI Designer is expected to be physically present at the India New Delhi office during the first ten weeks and may transition to remote work from India New Delhi for the final four weeks of the engagement.

Payment against this Purchase Order shall be made in the following instalments via bank transfer to the account of PixelCraft Design Studio LLP:

• Instalment 1 (30%): ₹219,480 – Due upon signing and acceptance of this Purchase Order, within 7 working days.
• Instalment 2 (40%): ₹292,640 – Due upon completion and approval of the High-Fidelity UI Design and Design System deliverables (Week 9).
• Instalment 3 (30%): ₹219,480 – Due upon final delivery, developer handoff, and sign-off (Week 14).

All payments are subject to the submission of a valid GST invoice from the UX UI Designer's firm. Late payments shall attract interest at 1.5% per month as per the terms stipulated in this Purchase Order.

1. This Purchase Order constitutes a binding agreement between the parties upon countersignature. All work shall be performed in compliance with the Information Technology Act, 2000, and applicable data protection regulations in India New Delhi.
2. The UX UI Designer warrants that all deliverables shall be original, free from intellectual property infringement, and created specifically for the buyer. All source files, design assets, and documentation shall become the exclusive property of Meridian Digital Solutions upon full payment.
3. The UX UI Designer shall maintain strict confidentiality regarding all proprietary information, user data, and business strategies encountered during the engagement in India New Delhi. A separate Non-Disclosure Agreement (NDA) is attached as Annexure A.
4. Any changes to the scope of work beyond what is specified in this Purchase Order shall require a written change order signed by both parties. Additional work shall be billed at the agreed hourly rate of ₹1,500 per hour.
5. The UX UI Designer shall provide weekly progress reports every Friday and attend bi-weekly stakeholder review meetings at the India New Delhi office or via video conference.
6. Either party may terminate this Purchase Order with 15 days' written notice. In the event of termination, the buyer shall pay for all work completed and approved up to the date of termination.
7. All disputes arising from this Purchase Order shall be resolved through arbitration in India New Delhi in accordance with the Arbitration and Conciliation Act, 1996. The jurisdiction of courts in New Delhi, India, shall apply.
8. The UX UI Designer shall comply with all workplace safety, code of conduct, and IT security policies of the buyer's India New Delhi premises during on-site work.
