This Purchase Order is issued by Tehran Digital Solutions Co., Ltd. to formally engage the services of a qualified UX UI Designer for the development, design, and implementation of user experience and user interface solutions for the company's flagship mobile and web applications. This Purchase Order is governed by the commercial laws of the Islamic Republic of Iran and is to be executed within the jurisdiction of Iran Tehran. All deliverables, meetings, and on-site consultations shall take place at the buyer's registered office in Tehran, Iran, unless otherwise agreed upon in writing by both parties.
The UX UI Designer engaged under this Purchase Order shall be responsible for conducting comprehensive user research, creating wireframes, developing high-fidelity prototypes, designing responsive interfaces, and ensuring that all design outputs comply with international accessibility standards while remaining culturally appropriate for the Iranian market. The UX UI Designer must demonstrate a minimum of five (5) years of professional experience in digital product design and must provide a portfolio of previously completed projects for review prior to the commencement of work.

- Advance Payment: 30% of the total Purchase Order value (93,990,000 IRR) shall be paid within five (5) business days of the signed Purchase Order via bank transfer to the UX UI Designer's designated account in Tehran, Iran.
- Milestone Payment 1: 25% (78,325,000 IRR) upon approval of wireframes and information architecture deliverables.
- Milestone Payment 2: 25% (78,325,000 IRR) upon delivery of the high-fidelity UI design system and interactive prototype.
- Final Payment: 20% (62,660,000 IRR) upon completion of developer handoff and the conclusion of the 30-day post-launch support period.
- All payments shall be made in Iranian Rials (IRR) to the following account: Bank Melli Iran, Branch: Tehran Valiasr, Account No: 010-4587-2361-9, SWIFT: MELLIRIT.
- Late payments shall incur a penalty of 0.5% per day as stipulated under Iranian commercial law.
- This Purchase Order constitutes a binding agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the engagement of the UX UI Designer.
- The UX UI Designer shall maintain full confidentiality of all proprietary information, user data, and business strategies of Tehran Digital Solutions Co., Ltd. in accordance with the data protection regulations applicable in Iran Tehran.
- All intellectual property rights in the final deliverables shall transfer to the buyer upon full payment. The UX UI Designer retains the right to display completed work in a professional portfolio, subject to a 90-day embargo period.
- The UX UI Designer is engaged as an independent contractor and not as an employee of the buyer. The UX UI Designer is responsible for all personal tax obligations in the Islamic Republic of Iran.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all work completed up to the termination date.
- All disputes arising from this Purchase Order shall be resolved through arbitration in Tehran, Iran, in accordance with the rules of the Tehran Regional Arbitration Center (TRAC).
- The UX UI Designer shall conduct all on-site meetings, usability testing sessions, and stakeholder presentations at the buyer's office located in Tehran, Iran, or at a mutually agreed location within the Tehran metropolitan area.
- This Purchase Order is valid for a period of one hundred ninety-five (195) days from the date of issue. If not executed within this period, a new Purchase Order must be generated.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the UX UI Designer in Iran Tehran.
