The UX UI Designer contracted through this Purchase Order shall provide the following services and deliverables, all to be executed in Iraq Baghdad:

The UX UI Designer assigned to fulfill this Purchase Order must meet the following minimum qualifications: a minimum of five (5) years of professional experience in user experience and user interface design; demonstrated proficiency in industry-standard tools including Figma, Adobe XD, Sketch, and InVision; a portfolio showcasing at least three (3) completed e-commerce or mobile application design projects; fluency in both Arabic and English to facilitate effective communication with stakeholders and end-users in Iraq Baghdad; and a working understanding of local cultural design sensibilities, right-to-left (RTL) layout requirements, and the specific digital infrastructure constraints present in the Iraqi market. The UX UI Designer must be physically present in Iraq Baghdad for a minimum of sixty percent (60%) of the total project duration to ensure direct collaboration with the development team and local stakeholders.

• Validity: This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
• Payment Schedule: Payment shall be made in three installments: thirty percent (30%) upon acceptance of this Purchase Order, forty percent (40%) upon delivery and approval of the UI design system, and thirty percent (30%) upon final project completion and sign-off. All payments shall be processed in US Dollars via bank transfer to the supplier's account in Baghdad, Iraq.
• Intellectual Property: All design deliverables, source files, and documentation produced under this Purchase Order shall become the exclusive property of Tigris Digital Solutions LLC upon full payment. The UX UI Designer retains the right to display completed work in their professional portfolio with prior written consent.
• Confidentiality: The UX UI Designer shall maintain strict confidentiality regarding all proprietary information, user data, and business strategies disclosed during the course of this engagement in Iraq Baghdad. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of work.
• Revisions: The scope of this Purchase Order includes up to three (3) rounds of revisions per deliverable. Additional revision cycles beyond the agreed scope shall be subject to a separate change order and additional fees.
• Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the UX UI Designer shall be compensated for all work completed and approved up to the termination date.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Iraq. Any disputes arising from this agreement shall be resolved through arbitration in Baghdad, Iraq.
• Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to political instability, natural disasters, or government-imposed restrictions affecting operations in Iraq Baghdad.
