The UX UI Designer will be responsible for conducting user research, creating wireframes, developing high-fidelity mockups, building interactive prototypes, and delivering a complete design system. All work will be performed at the supplier's studio located in the heart of Israel Tel Aviv, with regular on-site meetings at the buyer's offices in the same metropolitan area to ensure seamless collaboration and timely feedback integration.

The UX UI Designer shall commence work on July 1, 2025, and complete all primary deliverables by October 15, 2025. The three-month post-launch support period will extend through January 15, 2026. All milestones are subject to mutual agreement and will be tracked through bi-weekly progress meetings held at the buyer's offices in Israel Tel Aviv.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this agreement shall be resolved through arbitration in Tel Aviv, Israel, in accordance with the rules of the Tel Aviv Arbitration Center.
- Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon delivery of high-fidelity mockups, and 30% upon final acceptance of all deliverables. All payments shall be made in Israeli New Shekels (ILS) via bank transfer to the supplier's account in Israel Tel Aviv.
- Intellectual Property: Upon full payment, all design assets, source files, and documentation created by the UX UI Designer shall become the exclusive property of NovaTech Solutions Ltd. The supplier retains the right to display completed work in their portfolio with prior written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Revisions: The UX UI Designer shall include up to three (3) rounds of revisions per deliverable milestone at no additional cost. Additional revision cycles will be billed at the hourly rate of ILS 1,200 per hour.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the buyer shall compensate the UX UI Designer for all work completed up to the date of termination.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Israel Tel Aviv.
- Compliance: The UX UI Designer shall ensure all design deliverables comply with the Israeli Accessibility for Digital Content Law (5781-2021) and relevant WCAG 2.1 AA standards.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. The engagement of the UX UI Designer based in Israel Tel Aviv is hereby formally authorized, and work may commence upon the effective date stated herein.
