This Purchase Order is issued by Vesuvio Digital Solutions S.r.l. to formally engage the services of a qualified UX UI Designer for the design and development of a comprehensive digital product experience. All deliverables under this Purchase Order shall be produced, reviewed, and accepted at the buyer's premises located in Italy Naples, specifically at the office on Via Toledo 187, or at the UX UI Designer's studio in Naples as mutually agreed upon for each milestone. The UX UI Designer shall adhere to all applicable Italian labor regulations, data protection laws (GDPR as transposed into Italian law), and professional standards governing design services in the region of Italy Naples.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Courts of Italy Naples.
2. Intellectual Property: Upon full payment, all work product created by the UX UI Designer under this Purchase Order shall become the exclusive property of Vesuvio Digital Solutions S.r.l. The UX UI Designer retains the right to display the work in a professional portfolio, subject to a 90-day embargo period.
3. Payment Schedule: Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 40% upon delivery of the High-Fidelity UI Design (Line Item 3), and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the account specified by the UX UI Designer.
4. Acceptance Criteria: Each deliverable shall be subject to a 5-business-day review period. Acceptance shall be confirmed in writing by the buyer's project manager. Failure to respond within this period shall constitute deemed acceptance.
5. Revisions: The UX UI Designer shall include up to three (3) rounds of revisions per line item at no additional cost. Additional revisions shall be billed at a rate of EUR 95.00 per hour.
6. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the execution of this Purchase Order. This obligation shall survive termination for a period of three (3) years.
7. Termination: Either party may terminate this Purchase Order with 15 days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination.
8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the Italy Naples metropolitan area, pandemics, or government-mandated closures.
9. Compliance: The UX UI Designer warrants that all work shall comply with Italian accessibility standards (WCAG 2.1 AA) and shall not infringe upon any third-party intellectual property rights.

All physical deliverables, printed materials, and in-person review sessions related to this Purchase Order shall take place at the buyer's headquarters in Italy Naples (Via Toledo 187, 80132 Naples). Digital deliverables shall be transferred via the project management platform (Figma / Miro) with access credentials provided to the buyer. The UX UI Designer confirms availability to attend all scheduled meetings at the Italy Naples office during standard business hours (Monday to Friday, 09:00–18:00 CET).

By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of the UX UI Designer in Italy Naples. This document constitutes a binding agreement upon execution by both authorized representatives.
