This Purchase Order is issued to formally engage the services of a qualified UX UI Designer to deliver comprehensive user experience and user interface design solutions for the Buyer's digital platform modernization initiative. The UX UI Designer shall be responsible for the end-to-end design process, including user research, information architecture, wireframing, visual design, prototyping, usability testing, and the delivery of a complete design system. All work shall be performed in accordance with the professional standards expected of a senior UX UI Designer operating within the Italian digital services market.

The primary work location for this engagement shall be the Buyer's headquarters situated in Italy Rome, specifically at the address listed above. The UX UI Designer is expected to be physically present at the Italy Rome office for a minimum of four (4) days per week, with the remaining time allocated to remote collaboration and independent design work. All deliverables, presentations, and stakeholder meetings shall be conducted in the Italy Rome workspace unless otherwise agreed in writing by both parties.

The UX UI Designer shall commence work on 1 July 2025 and complete all deliverables by 30 September 2025. The project schedule is structured in four bi-weekly sprints, with formal review sessions held at the Italy Rome office every two weeks. Any extension of the timeline must be approved in writing through an amendment to this Purchase Order.

• Payment shall be made in three (3) equal installments: 33% upon execution of this Purchase Order, 33% upon completion of the Visual Design phase, and 34% upon final acceptance of all deliverables.
• All payments shall be processed via bank transfer to the Seller's designated account within fourteen (14) calendar days of invoice receipt.
• Payment is subject to the Buyer's verification that the UX UI Designer has met the acceptance criteria defined in Section 6.
• Late payments shall incur interest at the rate of 1.5% per month, in compliance with Italian commercial law applicable in Italy Rome.

Deliverables shall be deemed accepted when the Buyer's Digital Transformation Office confirms in writing that the UX UI Designer has fulfilled all specifications outlined in the attached Statement of Work. The Buyer reserves a period of ten (10) business days following each phase delivery to conduct review and request revisions. Revisions limited to the scope of this Purchase Order shall be provided at no additional cost.

• This Purchase Order is governed by the laws of the Italian Republic, with jurisdiction vested in the courts of Italy Rome.
• The UX UI Designer shall maintain full intellectual property ownership of pre-existing tools and methodologies; however, all work product created specifically for this engagement shall become the sole property of the Buyer upon full payment.
• The Seller warrants that the UX UI Designer assigned to this project holds a minimum of seven (7) years of professional experience in user experience and user interface design.
• Confidentiality obligations shall survive the termination of this Purchase Order for a period of three (3) years.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In such case, the Buyer shall pay for all services rendered up to the termination date.
