This Purchase Order is issued by Sahel Digital Solutions SARL to formally engage the services of a qualified UX UI Designer based in Ivory Coast Abidjan for the complete redesign of our enterprise customer-facing digital platform. The UX UI Designer shall deliver all design assets, interactive prototypes, and usability documentation in accordance with the specifications outlined below. All work shall be performed in compliance with the professional standards recognized in Ivory Coast Abidjan and applicable Ivorian labor and intellectual property regulations.

- Payment Schedule: 30% advance upon acceptance of this Purchase Order; 40% upon delivery and approval of high-fidelity UI designs (Item 03); 30% upon final acceptance of all deliverables and completion of the developer handoff period.
- Payment Method: Bank transfer to the UX UI Designer's designated account at a licensed bank in Ivory Coast Abidjan. Reference: PO-2025-ABJ-0047.
- Payment Due: Within 15 (fifteen) calendar days of invoice receipt for each milestone.
- Currency: All amounts are denominated in West African CFA Franc (XOF, ISO 4217: XOF).
- Project Start Date: 1 July 2025
- Expected Completion: 30 September 2025
- Working Location: The UX UI Designer shall perform services primarily from their studio in Plateau, Abidjan, Ivory Coast, with at least two (2) in-person review sessions per month at the buyer's office in Cocody, Abidjan.
- Acceptance Criteria: Each deliverable shall be subject to a 5-business-day review period. Failure to raise written objections within this window constitutes acceptance. All deliverables must meet the quality standards defined in the attached Statement of Work (SOW-UX-2025-03).
- Intellectual Property: Upon full payment, all work product created by the UX UI Designer under this Purchase Order shall become the exclusive property of Sahel Digital Solutions SARL. The designer retains the right to display the work in a professional portfolio with prior written consent.
- Confidentiality: The UX UI Designer agrees to maintain strict confidentiality regarding all proprietary information, user data, and business strategies disclosed during the engagement in Ivory Coast Abidjan. This obligation survives termination for a period of three (3) years.
- Revisions: Each design phase includes up to three (3) rounds of revisions. Additional revisions shall be billed at 50,000 XOF per hour.
- Termination: Either party may terminate this Purchase Order with 15 days' written notice. In the event of termination, the buyer shall pay for all work completed and accepted up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Côte d'Ivoire. Any disputes shall be resolved by the competent commercial courts of Abidjan, Ivory Coast.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in Ivory Coast Abidjan.
- Compliance: The UX UI Designer warrants that all deliverables are original, do not infringe upon third-party intellectual property rights, and comply with all applicable Ivorian regulations regarding digital design and data protection.
