2. Scope of Engagement – UX UI Designer Services
This Purchase Order is issued by Kyoto Digital Solutions Co., Ltd. to formally engage the services of a qualified UX UI Designer based in Japan Kyoto for the purpose of designing, prototyping, and delivering comprehensive user experience and user interface solutions for our flagship digital product, the "Kyoto Heritage Digital Archive" platform. The UX UI Designer shall be responsible for the end-to-end design process, including user research, wireframing, visual design, interactive prototyping, usability testing, and final design system documentation. All work shall be conducted primarily at the vendor's studio located in the Nakagyo-ku district of Japan Kyoto, with periodic on-site collaboration sessions at our headquarters in Higashiyama-ku, Kyoto.

4. Terms and Conditions
- Payment Terms: Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 40% upon delivery of the UI Visual Design deliverables (Item 003), and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the vendor's account in Japan. Payment is due within 30 days of invoice receipt.
- Work Location: The UX UI Designer shall perform the majority of work at the vendor's studio in Nakagyo-ku, Japan Kyoto. On-site collaboration sessions at the buyer's office in Higashiyama-ku, Kyoto shall occur no fewer than twice per month. All work must comply with Japanese labor standards and local regulations applicable to the Kyoto metropolitan area.
- Intellectual Property: Upon full payment, all design assets, source files, documentation, and intellectual property created by the UX UI Designer under this Purchase Order shall become the exclusive property of Kyoto Digital Solutions Co., Ltd. The vendor retains the right to display completed work in their portfolio with prior written consent.
- Confidentiality: The UX UI Designer agrees to maintain strict confidentiality regarding all proprietary information, user data, and business strategies disclosed during the engagement in Japan Kyoto. A separate Non-Disclosure Agreement (NDA) has been executed on July 10, 2025, and remains in effect for three years following project completion.
- Revisions: Each deliverable includes up to three (3) rounds of revisions. Additional revision cycles beyond the included scope shall be billed at the hourly rate of JPY 12,000 per hour, subject to prior written approval via a change order to this Purchase Order.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the buyer shall pay for all work completed and accepted up to the termination date. The UX UI Designer shall deliver all work-in-progress files within 7 business days of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this engagement shall be resolved through mediation in Kyoto, Japan, before proceeding to litigation in the Kyoto District Court.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, including but not limited to earthquakes, typhoons, or volcanic activity common to the Japan Kyoto region, provided that the affected party notifies the other within 48 hours of the event.
5. Acceptance and Authorization
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the UX UI Designer services in Japan Kyoto. This document constitutes a binding agreement between the parties effective from the date of the last signature.
