This Purchase Order is issued by Meridian Digital Solutions Sdn. Bhd. to formally engage the services of a qualified UX UI Designer through PixelCraft Design Studio Sdn. Bhd. The engagement is to be carried out in Malaysia Kuala Lumpur, and all deliverables, meetings, and on-site activities shall take place at the Buyer's premises located in Kuala Lumpur or at mutually agreed locations within the Kuala Lumpur metropolitan area.
The UX UI Designer shall be responsible for the end-to-end design of the Buyer's enterprise customer portal, including but not limited to user research, information architecture, wireframing, visual interface design, prototyping, usability testing, and the production of a comprehensive design system. The UX UI Designer must demonstrate a minimum of seven (7) years of professional experience in user experience and user interface design, with a proven portfolio of enterprise-grade digital products delivered in the Malaysia Kuala Lumpur market or equivalent Southeast Asian markets.

Payment against this Purchase Order shall be made in accordance with the following milestones. All payments shall be processed in Malaysian Ringgit (MYR) via bank transfer to the Supplier's designated account. Invoices must reference the Purchase Order number PO-2025-KL-0047.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from this engagement shall be resolved through arbitration in Kuala Lumpur, Malaysia, in accordance with the rules of the Asian International Arbitration Centre (AIAC).
- Intellectual Property: Upon full payment, all work product, designs, prototypes, and documentation created by the UX UI Designer under this Purchase Order shall become the sole and exclusive property of Meridian Digital Solutions Sdn. Bhd. The UX UI Designer retains the right to display the work in a professional portfolio, subject to a 90-day embargo period from final delivery.
- Confidentiality: The UX UI Designer shall maintain strict confidentiality regarding all proprietary information, user data, and business strategies disclosed during the engagement in Malaysia Kuala Lumpur. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A.
- Compliance: The Supplier and the assigned UX UI Designer shall comply with all applicable Malaysian laws, including the Personal Data Protection Act 2010 (PDPA), the Employment Act 1955, and all relevant regulations of the Malaysian Communications and Multimedia Commission (MCMC).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the UX UI Designer shall deliver all work-in-progress materials.
- Acceptance: The Buyer shall have ten (10) business days from the date of delivery to inspect and accept each deliverable. Failure to provide written notice of rejection within this period shall constitute deemed acceptance.
- Revisions: Each deliverable includes up to three (3) rounds of revisions. Additional revision cycles beyond the included rounds shall be billed at the UX UI Designer's standard hourly rate of RM 350.00 per hour.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Malaysia Kuala Lumpur, or pandemics.
- Tax: All amounts stated in this Purchase Order are inclusive of all applicable taxes, including Service Tax (SST) at the prevailing rate in Malaysia, unless otherwise stated.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a UX UI Designer in Malaysia Kuala Lumpur. This document constitutes a binding agreement upon execution by both authorized representatives.
