This Purchase Order is issued by Atlas Digital Solutions SARL to formally request and authorize the procurement of professional UX UI Designer services to be delivered in Morocco Casablanca. The engagement covers the full-cycle design of a new e-commerce platform, including user research, wireframing, interactive prototyping, visual interface design, usability testing, and delivery of a comprehensive design system. The UX UI Designer shall operate out of the supplier's office located in Morocco Casablanca and shall report directly to the Client's Product Management team on a weekly basis.

All prices are quoted in Moroccan Dirhams (MAD) and are inclusive of all applicable local taxes in Morocco Casablanca unless otherwise stated. The supplier shall bear all travel and accommodation costs within the Morocco Casablanca metropolitan area.

1. Acceptance: This Purchase Order becomes binding upon written acceptance by the supplier. The supplier shall return a signed copy to Atlas Digital Solutions SARL within five (5) business days of receipt.
2. Performance Location: All on-site meetings, workshops, and usability testing sessions shall take place in Morocco Casablanca. The UX UI Designer is expected to be physically present in Morocco Casablanca for a minimum of three (3) days per week during active design sprints.
3. Payment: Payment shall be made via bank transfer to the supplier's designated account in Morocco Casablanca within thirty (30) days of receipt of a valid tax invoice for each completed milestone. Late payments shall accrue interest at the rate of 1.5% per month.
4. Intellectual Property: Upon full payment, all deliverables produced by the UX UI Designer, including but not limited to wireframes, mockups, design tokens, and documentation, shall become the exclusive property of Atlas Digital Solutions SARL. The supplier retains the right to display anonymized work in their portfolio.
5. Confidentiality: The UX UI Designer and all personnel assigned to this Purchase Order shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All project data, user research findings, and proprietary information gathered in Morocco Casablanca shall be treated as strictly confidential.
6. Revisions: Each milestone includes up to two (2) rounds of revisions. Additional revision cycles shall be billed at the hourly rate of 1,200.00 MAD per hour for the UX UI Designer's time.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall be compensated for all work completed and accepted up to the termination date.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes shall be resolved by the competent courts of Morocco Casablanca.
9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Morocco Casablanca.

This Purchase Order (PO-2025-CAS-0047) is issued for the procurement of UX UI Designer services to be performed in Morocco Casablanca. It constitutes a formal commercial document and is valid only when countersigned by both parties. Any amendments to this Purchase Order must be made in writing and signed by both parties. This document is printed in duplicate; one copy for the Buyer and one copy for the Supplier.
