The UX UI Designer shall be responsible for conducting comprehensive user research, creating wireframes and interactive prototypes, designing responsive user interfaces, establishing and maintaining a design system, and ensuring full accessibility compliance in accordance with Dutch and European digital accessibility standards. The scope of work encompasses the redesign of the existing customer-facing portal, the creation of a new mobile application interface, and the development of internal dashboard tools for operational staff.

The UX UI Designer engagement shall commence on 1 July 2025 and is expected to conclude by 30 September 2025, subject to milestone approvals. All primary work sessions, design sprints, and stakeholder review meetings will be conducted at the buyer's office in Netherlands Amsterdam. Remote collaboration via approved digital tools is permitted for ancillary tasks, provided that no fewer than three (3) in-person sessions per month are held at the Netherlands Amsterdam premises. The supplier acknowledges that the Purchase Order is governed by the laws of the Kingdom of the Netherlands, and any disputes arising from this engagement shall be resolved under the jurisdiction of the District Court of Amsterdam.
- Payment shall be made in three (3) equal installments of EUR 18,150.00 (inclusive of VAT), due upon completion and written acceptance of each project milestone.
- First installment: due within 14 calendar days of milestone approval for User Research and UX Architecture (end of July 2025).
- Second installment: due within 14 calendar days of milestone approval for UI Design and Design System delivery (end of August 2025).
- Third installment: due within 14 calendar days of final project acceptance and handoff (end of September 2025).
- All payments shall be made via bank transfer to the supplier's designated account in the Netherlands. Late payments shall accrue interest at the statutory Dutch rate.
- The UX UI Designer shall maintain full intellectual property rights transfer to the buyer upon final payment. All source files, design tokens, and documentation become the exclusive property of Amsterdam Digital Solutions B.V.
- The supplier warrants that all deliverables are original, free from third-party infringement, and comply with applicable Dutch and EU data protection regulations (GDPR).
- Confidentiality: Both parties agree to a mutual non-disclosure obligation for a period of three (3) years following project completion. All project materials are classified as confidential.
- The buyer reserves the right to request up to two (2) rounds of revisions per deliverable at no additional cost. Further revisions will be billed at the hourly rate of EUR 95.00.
- This Purchase Order constitutes the entire agreement between the parties regarding the described services and supersedes all prior negotiations, representations, or agreements.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the buyer shall pay for all work completed and accepted up to the termination date.
- The supplier shall carry adequate professional liability insurance (minimum EUR 1,000,000) valid throughout the Netherlands, including Amsterdam, for the duration of the engagement.
