This Purchase Order is issued by Pacific Digital Solutions Ltd. to formally engage the services of a qualified UX UI Designer based in New Zealand Auckland for the purpose of delivering comprehensive user experience and user interface design services. The UX UI Designer shall be responsible for the full design lifecycle of the company's upcoming enterprise customer portal, including but not limited to user research, information architecture, wireframing, visual design, prototyping, usability testing, and design system development. All work shall be conducted in accordance with New Zealand design industry standards and best practices applicable to the New Zealand Auckland technology sector.

Payment for this Purchase Order shall be made in accordance with the following schedule. All payments are denominated in New Zealand Dollars (NZD) and shall be remitted via bank transfer to the account details provided by the supplier. Invoices are to be submitted monthly in arrears. A 1.5% late payment penalty shall apply to any invoice not settled within 30 days of the invoice date, in compliance with the New Zealand Payment Terms on Supply Act 2013. The total contract value of this Purchase Order for the UX UI Designer engagement is NZD $48,600.00, inclusive of all professional fees. No additional GST shall be applied as the supplier is registered for GST and the amount is GST-inclusive.

1. This Purchase Order is governed by and shall be construed in accordance with the laws of New Zealand. Any disputes arising from this Purchase Order shall be resolved through mediation in New Zealand Auckland before proceeding to the District Court of Auckland.
2. The UX UI Designer shall maintain professional indemnity insurance with a minimum cover of NZD $5,000,000 for the duration of the engagement and shall provide a certificate of insurance upon request.
3. All intellectual property, design assets, source files, and deliverables created under this Purchase Order shall become the sole property of Pacific Digital Solutions Ltd. upon full payment. The UX UI Designer retains the right to display completed work in a professional portfolio with prior written consent.
4. The UX UI Designer shall comply with all applicable New Zealand employment, privacy (Privacy Act 2020), and health and safety legislation. All work shall be performed from the supplier's premises in New Zealand Auckland unless otherwise agreed in writing.
5. Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination at the rates specified in Section 3.
6. The UX UI Designer shall attend weekly progress meetings at the Buyer's office in New Zealand Auckland or via video conference as mutually agreed. A minimum of 80% of working hours shall be dedicated to this project.
7. All deliverables shall be subject to a two-round revision process. Additional revisions beyond the agreed scope shall be billed at the hourly rate of NZD $250.00 per hour.
8. This Purchase Order does not create a partnership, joint venture, or agency relationship between the parties. The UX UI Designer is an independent contractor and not an employee of the Buyer.
9. Confidentiality obligations shall survive the termination of this Purchase Order for a period of three (3) years. Both parties agree to protect all proprietary information exchanged during the engagement.
10. Force majeure events, including but not limited to natural disasters affecting the New Zealand Auckland region, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within 48 hours.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the UX UI Designer in New Zealand Auckland. This Purchase Order becomes effective upon execution by both authorized representatives.
