The UX UI Designer will be based in New Zealand Wellington and will work primarily from the supplier's office in Thorndon, Wellington, with periodic on-site visits to the purchaser's premises in Te Aro, Wellington. The engagement covers user research, information architecture, wireframing, visual design, prototyping, usability testing, and the delivery of a complete design system for the purchaser's new customer-facing web and mobile platform.

All deliverables under this Purchase Order shall be produced by the UX UI Designer while physically located in New Zealand Wellington. The supplier confirms that the designated UX UI Designer is a New Zealand resident and will conduct all project activities within the Wellington region. On-site meetings with the purchaser's team will take place at Level 4, 128 Cuba Street, Te Aro, Wellington, no more than twice per fortnight. All digital deliverables (Figma files, PDFs, video recordings of usability tests) will be transferred via the purchaser's secure cloud repository. The UX UI Designer must ensure that all work complies with New Zealand's Privacy Act 2020 and the Hazardous Substances and New Organisms Act where applicable to user data handling.

• Payment Schedule: 30% deposit upon acceptance of this Purchase Order; 40% upon completion of Item 03 (Visual Design); 30% upon final handover and acceptance of all deliverables.
• Payment Method: Electronic funds transfer (EFT) to the supplier's nominated New Zealand bank account.
• Payment Due: Within 14 calendar days of receipt of a valid tax invoice.
• Currency: All amounts are quoted and payable in New Zealand Dollars (NZD).
• Late Payment: Interest at 10% per annum may be charged on overdue amounts in accordance with the New Zealand Consumer Guarantees Act 1993.

• This Purchase Order is governed by the laws of New Zealand. Any disputes shall be resolved in the District Court of Wellington, New Zealand.
• The UX UI Designer warrants that all work products are original, free from intellectual property infringement, and created specifically for the purchaser under this Purchase Order.
• The supplier shall maintain professional indemnity insurance with a minimum cover of NZD 5,000,000 for the duration of the engagement in New Zealand Wellington.
• Confidentiality: Both parties agree to maintain strict confidentiality regarding all project materials, user data, and business strategies shared during the engagement. This obligation survives for 3 years post-completion.
• Change Orders: Any scope changes beyond the original Purchase Order must be documented in a written Change Order signed by both parties before work commences.
• Termination: Either party may terminate this Purchase Order with 14 days' written notice. The purchaser shall pay for all work completed and accepted up to the termination date.
• The UX UI Designer shall adhere to the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standard for all interface designs delivered under this Purchase Order.
