1. Scope of Work: The UX UI Designer shall perform all design services as described in this Purchase Order. Any additional work beyond the stated scope shall require a written change order signed by both parties. The UX UI Designer is expected to dedicate a minimum of 40 hours per week to this project while it is active.
2. Project Timeline: The total project duration shall not exceed twelve (12) weeks from the date of Purchase Order acceptance. Milestone deliverables are due as follows: Week 3 – Research Report; Week 6 – Wireframes; Week 9 – High-Fidelity Designs; Week 11 – Usability Testing; Week 12 – Final Handoff.
3. Payment Schedule: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon delivery of high-fidelity designs (Milestone 3), and 30% upon final acceptance and handoff. All payments shall be made via bank transfer to the account specified by the supplier. Payment is due within thirty (30) days of invoice receipt.
4. Work Location: All on-site meetings, presentations, and usability testing sessions shall be conducted at the client's office located in Nigeria Abuja, specifically at 14 Aminu Kano Crescent, Wuse II. Remote collaboration is permitted for non-critical tasks, but the UX UI Designer must be physically present in Nigeria Abuja for all client-facing deliverable reviews.
5. Intellectual Property: Upon full and final payment, all design assets, source files, design system components, and documentation created by the UX UI Designer under this Purchase Order shall become the exclusive property of TechBridge Solutions Nigeria Ltd. The supplier retains the right to display the work in their portfolio with prior written consent from the client.
6. Confidentiality: The UX UI Designer agrees to maintain strict confidentiality regarding all proprietary information, user data, and business strategies disclosed during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
7. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the client shall pay for all services rendered up to the date of termination. The UX UI Designer shall deliver all work-in-progress files upon termination.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Nigeria Abuja. If mediation fails, disputes shall be subject to the jurisdiction of the Federal High Court in Abuja, Nigeria.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
