This Purchase Order is issued to formally engage the services of a qualified UX UI Designer to deliver comprehensive user experience and user interface design solutions for the buyer's flagship digital product suite. The UX UI Designer shall be based and operate out of the Philippines Manila metropolitan area, ensuring proximity to the buyer's primary operations center and facilitating in-person collaboration sessions as required by the project timeline. The engagement covers the full design lifecycle, including user research, wireframing, prototyping, visual design, design system development, and usability testing, all to be executed within the Philippines Manila business environment.

1. Payment Terms: Payment shall be made within thirty (30) days from the date of invoice receipt. The total Purchase Order amount of PHP 694,400.00 shall be disbursed in three equal installments: 40% upon contract execution, 35% upon completion of the UI design phase, and 25% upon final delivery and acceptance of all deliverables by the buyer.
2. Work Location: The UX UI Designer shall perform all services primarily at the buyer's office located in Philippines Manila (Makati City). Remote work from any location within the Philippines Manila metro area is permitted for up to two (2) days per week, subject to prior written approval from the project manager.
3. Deliverables: All deliverables produced by the UX UI Designer shall be provided in industry-standard formats (Figma, Sketch, Adobe XD) and shall include complete source files, design tokens, and annotated specifications. All intellectual property rights to the final work product shall vest exclusively with the buyer upon full payment.
4. Compliance: The supplier shall ensure that the UX UI Designer engaged under this Purchase Order complies with all applicable labor laws of the Republic of the Philippines, including but not limited to the Philippine Labor Code, the Data Privacy Act of 2012 (RA 10173), and all local ordinances governing professional services in Philippines Manila.
5. Confidentiality: The UX UI Designer shall execute a Non-Disclosure Agreement (NDA) prior to commencing any work. All proprietary information, user data, and business strategies shared during the engagement in Philippines Manila shall remain strictly confidential and shall not be disclosed to any third party without written consent.
6. Revisions: The Purchase Order includes up to three (3) rounds of revisions per design phase. Additional revision cycles beyond the included scope shall be billed at PHP 15,000.00 per round and require a separate Purchase Order amendment.
7. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of early termination, the buyer shall pay for all services rendered and approved deliverables up to the termination date.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from this engagement shall be resolved through arbitration in Philippines Manila in accordance with the rules of the Philippine Dispute Resolution Center.
9. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Philippines Manila, or pandemics, provided that the affected party notifies the other within forty-eight (48) hours.
