This Purchase Order is issued to formally authorize the procurement of professional UX UI Designer services to be rendered in Saudi Arabia Riyadh. The Supplier shall provide a dedicated, senior-level UX UI Designer to support the Buyer's ongoing digital transformation initiative. The UX UI Designer shall be responsible for conducting comprehensive user research, developing wireframes and interactive prototypes, designing responsive user interfaces, establishing and maintaining a design system, and ensuring full compliance with Saudi Arabian digital accessibility standards and the Vision 2030 digital governance framework.

The engagement of the UX UI Designer shall take place primarily at the Buyer's headquarters located in the Al Olaya District of Riyadh, Saudi Arabia, with the option of hybrid remote work as mutually agreed upon in writing. All deliverables produced by the UX UI Designer shall be subject to the Buyer's quality assurance review process before final acceptance.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All services described herein shall be performed in accordance with the laws of the Kingdom of Saudi Arabia and applicable regulations in Riyadh.
2. The UX UI Designer assigned to this engagement shall be a qualified professional with a minimum of seven (7) years of experience in user experience and user interface design, with demonstrated expertise in designing for the Saudi Arabian market and Arabic-language interfaces.
3. All intellectual property rights in the deliverables produced by the UX UI Designer under this Purchase Order shall vest exclusively in the Buyer upon full payment of the corresponding milestone invoice.
4. The Supplier shall ensure that the UX UI Designer complies with all data protection requirements under the Saudi Personal Data Protection Law (PDPL) and shall execute a Non-Disclosure Agreement (NDA) prior to project commencement.
5. Payment shall be made via bank transfer to the Supplier's designated account in Saudi Arabia within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate of 1.5% per month.
6. The Buyer reserves the right to request up to three (3) rounds of revisions per deliverable at no additional cost. Revisions beyond this limit shall be billed at the hourly rate of SAR 1,200 per hour for the UX UI Designer's time.
7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and milestones completed up to the effective date of termination.
8. All disputes arising from this Purchase Order shall be resolved through arbitration in Riyadh, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA).
9. This Purchase Order is governed by and shall be construed in accordance with the laws of the Kingdom of Saudi Arabia. The place of performance for all services is Riyadh, Saudi Arabia.
