This Purchase Order is issued by Atlantic Digital Solutions (Pty) Ltd to formally engage DesignCraft Studio (Pty) Ltd to supply the professional services of a senior UX UI Designer for the duration of the project period specified herein. The UX UI Designer shall be based in and operate out of South Africa Cape Town, ensuring local market knowledge, cultural relevance, and compliance with all applicable South African labour and data protection regulations. The engagement covers the full design lifecycle for the buyer's enterprise customer-facing digital platform, including user research, information architecture, wireframing, visual interface design, prototyping, usability testing, and design system documentation.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of South Africa Cape Town.
2. Intellectual Property: Upon full and final payment, all deliverables produced by the UX UI Designer, including but not limited to wireframes, mockups, prototypes, design system files, and documentation, shall become the sole and exclusive property of Atlantic Digital Solutions (Pty) Ltd. The vendor retains the right to display the work in a professional portfolio with prior written consent from the buyer.
3. Confidentiality: The UX UI Designer and all personnel engaged by DesignCraft Studio (Pty) Ltd shall be bound by a Non-Disclosure Agreement (NDA) executed prior to the commencement of work. All project data, user research findings, and proprietary information shall be treated as strictly confidential and shall not be disclosed to any third party without written authorisation.
4. Compliance: The vendor shall ensure that the UX UI Designer complies with the Protection of Personal Information Act (POPIA) 4 of 2013 of South Africa, the Companies Act 71 of 2008, and all applicable labour legislation. All work shall be performed from the vendor's registered office in South Africa Cape Town unless otherwise agreed in writing.
5. Payment Schedule: Payment shall be made in three (3) instalments: 30% upon acceptance of this Purchase Order, 40% upon completion of Phase 3 (Visual Interface Design), and 30% upon final acceptance of all deliverables. Invoices shall be submitted in South African Rand (ZAR) and paid within thirty (30) calendar days of receipt.
6. Acceptance Criteria: Each phase deliverable shall be subject to a ten (10) business day review period. The buyer shall provide written acceptance or a detailed list of required revisions. The UX UI Designer shall address all reasonable revisions at no additional cost within the scope of the original brief.
7. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the buyer shall pay for all services rendered and deliverables accepted up to the date of termination.
8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or pandemics affecting operations in South Africa Cape Town.
9. Warranty: The vendor warrants that all deliverables shall be original, free from third-party intellectual property claims, and fit for the purpose described in this Purchase Order. The UX UI Designer warrants that all design assets shall meet WCAG 2.1 Level AA accessibility standards.

By signing below, the authorised representatives of both parties confirm that this Purchase Order has been reviewed, understood, and accepted in its entirety. This document constitutes a binding agreement for the engagement of the UX UI Designer services as described herein, to be delivered in South Africa Cape Town.
