This Purchase Order is issued by Nova Digital Solutions S.L. to formally request and authorize the procurement of professional UX UI Designer services to be delivered and executed in Spain Madrid. The engagement covers the full design lifecycle for our flagship e-commerce platform redesign, including user research, wireframing, interactive prototyping, visual interface design, usability testing, and design system documentation. All deliverables must be produced in accordance with the specifications outlined in the attached Statement of Work (SOW-2025-089) and must comply with the accessibility standards mandated by Spanish and European Union regulations.

The UX UI Designer assigned to this project must possess a minimum of seven (7) years of professional experience in digital product design, with demonstrable expertise in both user experience strategy and user interface execution. The designer is expected to work on-site at our Madrid headquarters located in the Salamanca district of Spain Madrid, with a minimum presence of four (4) days per week. Remote collaboration days are permitted for tasks that do not require in-person stakeholder engagement.

1. This Purchase Order constitutes a binding agreement between Nova Digital Solutions S.L. and PixelCraft Design Studio S.L. upon countersignature by both parties. All terms are governed by the commercial laws of the Kingdom of Spain, with jurisdiction vested in the courts of Madrid.
2. The UX UI Designer shall adhere to all intellectual property clauses stipulated in the master service agreement. All design assets, source files, and documentation produced under this Purchase Order shall become the exclusive property of Nova Digital Solutions S.L. upon full payment.
3. Payment shall be made in three (3) equal installments: 30% upon acceptance of this Purchase Order, 40% upon completion of the High-Fidelity UI Design phase, and 30% upon final handover and acceptance of all deliverables. Payments shall be processed via bank transfer to the account specified by the vendor within fourteen (14) calendar days of invoice receipt.
4. All work must be performed in Spain Madrid unless otherwise agreed in writing. The vendor is responsible for ensuring the UX UI Designer holds valid work authorization in Spain and complies with all local labor regulations applicable in the Madrid region.
5. Any changes to scope, timeline, or deliverables must be documented through a formal Change Order referenced to this Purchase Order number (PO-2025-00472) and approved in writing by the Project Sponsor before implementation.
6. The vendor shall provide weekly progress reports every Friday, detailing completed tasks, upcoming milestones, and any risks or blockers affecting the UX UI Designer's ability to meet the agreed schedule.
7. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, user data, and business strategies disclosed during the engagement in Spain Madrid. This obligation survives the termination of this Purchase Order for a period of three (3) years.
8. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall be compensated for all work completed and accepted up to the termination date.
9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Spain Madrid.

All deliverables under this Purchase Order shall be subject to a formal acceptance review conducted by the Nova Digital Solutions Product Design team. The UX UI Designer must present completed work in scheduled review sessions held at the Madrid office. Acceptance is contingent upon meeting the quality benchmarks defined in the SOW, including but not limited to: adherence to the approved design system, WCAG 2.1 AA accessibility compliance, responsive layout validation across breakpoints, and stakeholder sign-off from the Product Owner and Engineering Lead.
