This Purchase Order is issued by Nile Digital Solutions Ltd. to formally engage the services of a qualified UX UI Designer to deliver comprehensive user experience and user interface design solutions for the company's flagship digital platform. The engagement is based in Sudan Khartoum, and all on-site work, client meetings, and collaborative design sessions shall be conducted at the supplier's designated workspace located in Al-Shamlika, Sudan Khartoum, or at the buyer's premises in Omdurman, Sudan Khartoum, as mutually agreed upon for each project phase.
The UX UI Designer shall be responsible for conducting user research, creating wireframes, developing high-fidelity mockups, building interactive prototypes, establishing a comprehensive design system, and ensuring that all digital products meet the accessibility and usability standards required for the Sudanese market and broader East African user base.

- This Purchase Order is governed by the commercial laws of the Republic of the Sudan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Sudan Khartoum in accordance with the Sudanese Arbitration Act.
- The UX UI Designer shall maintain full confidentiality regarding all proprietary information, user data, and business strategies disclosed during the course of this engagement. A separate Non-Disclosure Agreement (NDA) is attached as Annex A.
- All intellectual property rights in the final deliverables, including but not limited to wireframes, mockups, prototypes, and the design system, shall transfer exclusively to Nile Digital Solutions Ltd. upon full payment of this Purchase Order.
- The UX UI Designer is required to be physically present in Sudan Khartoum for a minimum of 40 hours per week during the project duration. Remote work may be permitted for up to 2 days per week with prior written approval from the buyer's project manager.
- Payment shall be made in monthly installments of SDG 1,144,916.67 (inclusive of VAT) via bank transfer to the supplier's account at Bank of Khartoum, Sudan Khartoum branch. Invoices must be submitted by the 5th of each month for the preceding month's work.
- The buyer reserves the right to request up to two (2) rounds of revisions per deliverable at no additional cost. Revisions beyond this scope shall be billed at the hourly rate of SDG 12,000 per hour.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the buyer shall pay for all work completed and accepted up to the termination date.
- All work shall comply with the Sudanese Standards and Metrology Organization (SSMO) guidelines for digital accessibility where applicable, and shall be culturally appropriate for users in Sudan Khartoum and the wider Sudanese population.
- The UX UI Designer shall provide weekly progress reports every Friday and attend bi-weekly stakeholder review meetings held at the buyer's office in Omdurman, Sudan Khartoum.
- This Purchase Order becomes effective upon signature by both parties and remains valid for the duration of the six-month project period unless extended by mutual written agreement.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a UX UI Designer based in Sudan Khartoum.
