- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Swiss Confederation, with the cantonal jurisdiction of Switzerland Zurich applying to all disputes arising from this engagement.
- Place of Performance: All services rendered by the UX UI Designer shall be performed at the Buyer's premises in Switzerland Zurich unless otherwise agreed in writing. Remote collaboration sessions may be conducted as supplementary to on-site work.
- Intellectual Property: All work product, including but not limited to wireframes, prototypes, design systems, and interface assets created by the UX UI Designer under this Purchase Order, shall become the exclusive property of Helvetia Digital Solutions AG upon full payment.
- Confidentiality: The UX UI Designer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies of the Buyer encountered during the engagement in Switzerland Zurich. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A.
- Payment Schedule: Invoices shall be submitted monthly. Payment is due within thirty (30) calendar days of invoice receipt. All payments shall be made in Swiss Francs (CHF) via bank transfer to the account specified by Alpine Creative Design Studio GmbH, Switzerland Zurich.
- Subcontracting: The Supplier shall not subcontract any portion of the UX UI Designer engagement without prior written consent from the Buyer. The named UX UI Designer assigned to this Purchase Order shall remain the primary point of contact throughout the project duration.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date.
- Compliance: The UX UI Designer shall comply with all applicable Swiss labor laws, data protection regulations (FADP), and accessibility standards (including WCAG 2.1 AA) while performing duties in Switzerland Zurich.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to mediation in Switzerland Zurich. If unresolved, matters shall be referred to the competent courts of the Canton of Zurich, Switzerland.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a UX UI Designer in Switzerland Zurich. This document constitutes a binding agreement between the parties effective from the date of the last signature.
