- Place of Performance: All services under this Purchase Order shall be rendered in Thailand Bangkok. The UX UI Designer shall maintain a primary workspace in Bangkok and shall be available for on-site meetings at the buyer's office in Pathum Wan, Bangkok, no fewer than three (3) days per week.
- Payment Schedule: Payment shall be made in three (3) installments: 40% upon acceptance of this Purchase Order, 40% upon delivery of the complete design system and high-fidelity mockups, and 20% upon final acceptance and sign-off of all deliverables. All payments shall be made via bank transfer to the supplier's designated account in Thailand.
- Intellectual Property: Upon full payment, all work product created by the UX UI Designer, including but not limited to wireframes, mockups, prototypes, design tokens, and source files, shall become the sole and exclusive property of Siam Digital Solutions Co., Ltd. The supplier retains the right to display completed work in their portfolio with prior written consent from the buyer.
- Confidentiality: The UX UI Designer and all personnel engaged by the supplier in Thailand Bangkok shall execute a Non-Disclosure Agreement (NDA) prior to commencing work. All proprietary data, user research findings, and business strategies shared during the engagement are strictly confidential.
- Revisions: The Purchase Order includes up to three (3) rounds of revisions per deliverable milestone. Additional revision cycles shall be billed at the hourly rate of THB 3,500 per hour for the UX UI Designer's time.
- Compliance: The supplier warrants that the UX UI Designer engaged under this Purchase Order holds valid work authorization in Thailand and that all services comply with the Thai Labour Protection Act B.E. 2541 (1998) and applicable regulations of the Ministry of Labour, Bangkok.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination, and the supplier shall deliver all work-in-progress files.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes shall be resolved through arbitration in Bangkok under the rules of the Thai Arbitration Institute.
- Validity: This Purchase Order is valid for ninety (90) days from the date of issue. Failure to commence work within this period shall render this Purchase Order null and void unless renewed in writing.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this Purchase Order for the engagement of a UX UI Designer in Thailand Bangkok. This document constitutes a binding agreement between the parties for the duration of the project.
