This Purchase Order is issued by Anatolia Digital Solutions A.S. to formally request and authorize the procurement of professional UX UI Designer services to be delivered and executed within the metropolitan area of Turkey Ankara. The engagement covers the full design lifecycle for a new enterprise-grade SaaS platform, including user research, wireframing, interactive prototyping, visual interface design, usability testing, and final design system documentation. All deliverables under this Purchase Order shall be produced by a certified UX UI Designer or a qualified team of UX UI Designer professionals based and operating in Turkey Ankara.

All services specified in this Purchase Order shall be performed by the designated UX UI Designer or UX UI Designer team at the supplier's registered office located in Turkey Ankara, or at the buyer's premises in the Çankaya district of Ankara, as mutually agreed upon in writing. Any on-site user research, usability testing sessions, or stakeholder workshops conducted by the UX UI Designer shall take place within the administrative boundaries of Turkey Ankara. The supplier confirms that the primary UX UI Designer assigned to this Purchase Order is physically based in Turkey Ankara and will maintain a minimum of four (4) on-site working days per week at the agreed location.

• Payment shall be made in Turkish Lira (TRY) via bank transfer to the supplier's account registered in Turkey Ankara.
• 30% advance payment upon acceptance and signing of this Purchase Order.
• 40% milestone payment upon delivery and approval of the high-fidelity UX UI Designer deliverables (Items 02 and 03).
• 30% final payment upon completion of all deliverables, including the design system documentation and the final month of the UX UI Designer retainer period.
• All invoices must reference this Purchase Order number (PO-TR-ANK-2025-0472) and shall be issued in accordance with Turkish commercial invoicing regulations applicable in Turkey Ankara.
• Payment is due within fifteen (15) calendar days of invoice receipt. Late payments shall accrue interest at the statutory rate set by the Republic of Turkey.

The buyer reserves the right to review and approve each phase of the UX UI Designer deliverables before proceeding to the next phase. Acceptance of any deliverable under this Purchase Order shall be confirmed in writing by the buyer's Product Director. The UX UI Designer shall adhere to internationally recognized UX/UI best practices, including WCAG 2.1 AA accessibility standards, responsive design principles for all screen sizes, and platform-specific design guidelines (iOS HIG, Material Design 3). All source files, component libraries, and design tokens produced by the UX UI Designer shall be delivered in Figma format with full edit access transferred to the buyer upon final payment.

• This Purchase Order constitutes a binding agreement between the parties upon signature by both authorized representatives.
• The UX UI Designer shall maintain full confidentiality of all proprietary information, user data, and business strategies disclosed during the engagement in Turkey Ankara. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A.
• Intellectual property rights for all final deliverables created by the UX UI Designer under this Purchase Order shall transfer exclusively to the buyer upon full and final payment.
• The supplier shall not subcontract any portion of the UX UI Designer work without prior written consent from the buyer. Any approved subcontractor must also be based in or regularly operating in Turkey Ankara.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all UX UI Designer services rendered up to the termination date.
• This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts in Turkey Ankara.
• Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Turkey Ankara, shall suspend obligations under this Purchase Order for the duration of the event.
