This Purchase Order is issued by Meridian Digital Solutions Ltd. to formally engage the services of a qualified UX UI Designer based in Turkey Istanbul for the purpose of designing, prototyping, and delivering a comprehensive user experience and user interface solution for the company's upcoming enterprise SaaS platform. The UX UI Designer shall be responsible for the full design lifecycle, including user research, information architecture, wireframing, visual design, interactive prototyping, usability testing, and final design handoff to the development team.

The engagement of this UX UI Designer is specifically scoped to the Turkey Istanbul market, with particular attention to local user behavior patterns, cultural design sensibilities, and regulatory compliance requirements applicable to digital products operating within Turkey. The UX UI Designer is expected to conduct on-site user interviews and focus groups in Istanbul to ensure the final product resonates authentically with the target demographic in this region.

4.1 This Purchase Order constitutes a binding agreement between the Purchasing Party and the Service Provider for the engagement of the UX UI Designer as described herein. All work shall be performed in accordance with the professional standards expected of a senior UX UI Designer operating in the competitive digital design market of Turkey Istanbul.

4.2 The UX UI Designer shall maintain full confidentiality of all proprietary information, user data, and business strategies disclosed during the course of this engagement. A separate Non-Disclosure Agreement (NDA) has been executed on June 5, 2025, and remains in full force alongside this Purchase Order.

4.3 All deliverables shall be subject to a minimum of two (2) revision cycles per milestone. Additional revisions beyond the agreed scope shall be billed at a rate of ₺4,500 per hour and require prior written approval from the Purchasing Party.

4.4 The Service Provider guarantees that the UX UI Designer assigned to this project holds a minimum of seven (7) years of professional experience in UX and UI design, with a demonstrated portfolio of enterprise-level digital products. The designer shall be physically based in Turkey Istanbul for the duration of the engagement to facilitate in-person collaboration and local user research activities.

4.5 Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon delivery of the High-Fidelity UI Design milestone, and 30% upon final acceptance of all deliverables. All payments shall be processed via bank transfer to the account designated by the Service Provider.

4.6 In the event of force majeure, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Turkey Istanbul region, either party may suspend obligations with written notice. The project timeline shall be extended proportionally.

4.7 This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of Turkey. Any disputes arising from this agreement shall be resolved through arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Center (ISTAC).

By signing below, both parties acknowledge and agree to all terms, conditions, and deliverables outlined in this Purchase Order for the UX UI Designer services to be rendered in Turkey Istanbul.
