This Purchase Order authorizes the procurement of specialized UX UI Designer services to be delivered in Uganda Kampala for the purpose of redesigning and developing the user experience and user interface of the organization's enterprise customer portal and mobile application. The engaged UX UI Designer shall be responsible for conducting comprehensive user research, creating wireframes, producing high-fidelity interactive prototypes, establishing a cohesive design system, and delivering final production-ready interface assets. All design work shall be executed in accordance with international usability standards while incorporating cultural and contextual considerations specific to the Uganda Kampala market and its diverse user base.

7.1 This Purchase Order constitutes a binding agreement between Kampala Digital Solutions Limited and Nalubaale Creative Studio for the provision of UX UI Designer services in Uganda Kampala. All work shall be performed in compliance with the laws of the Republic of Uganda, including the Uganda Copyright and Performance Rights Act, 2006.
7.2 The UX UI Designer shall maintain full confidentiality of all proprietary information, user data, and business strategies disclosed during the engagement. A separate Non-Disclosure Agreement (NDA) is attached as Annex A to this Purchase Order.
7.3 All intellectual property rights in the final deliverables, including but not limited to design files, prototypes, design system components, and source assets, shall vest exclusively in Kampala Digital Solutions Limited upon full payment. The UX UI Designer retains the right to display completed work in professional portfolios subject to prior written approval.
7.4 The supplier shall provide a minimum of two (2) revision cycles per design phase at no additional cost. Revisions beyond the agreed cycles shall be billed at UGX 350,000 per hour for the UX UI Designer's time.
7.5 In the event of non-performance or material breach, the purchasing entity reserves the right to terminate this Purchase Order with fourteen (14) days written notice. Termination shall not affect accrued payment obligations for work satisfactorily completed prior to the termination date.
7.6 All invoices shall be submitted in Ugandan Shillings (UGX) and paid via bank transfer to the account designated by the supplier. Late payments shall attract interest at the rate of 2% per month as stipulated under Uganda's commercial law.
7.7 The UX UI Designer shall carry professional indemnity insurance with a minimum coverage of UGX 50,000,000 for the duration of the engagement and shall provide a certificate of insurance upon request.
7.8 Disputes arising from this Purchase Order shall be resolved through mediation in Kampala, Uganda, in accordance with the rules of the Uganda Arbitration and Mediation Centre. If mediation fails, the matter shall be referred to the competent courts of Uganda.
This Purchase Order is issued under the authority of the Procurement Committee of Kampala Digital Solutions Limited and is effective upon countersignature by both parties. The engagement of the UX UI Designer shall commence on the date of the final signature below.
