All work shall be performed remotely or on-site at the Purchasing Entity's offices located in the United Arab Emirates Abu Dhabi, with a minimum of three (3) in-person collaboration sessions per month to ensure alignment with project milestones.

Payment for the services rendered under this Purchase Order shall be made in the following installments, all denominated in United Arab Emirates Dirhams (AED) and payable via bank transfer to the Service Provider's designated account in the United Arab Emirates Abu Dhabi:

• Milestone 1 (30%): AED 59,928.75 — Due upon successful completion and acceptance of Deliverables 01 and 02.
• Milestone 2 (40%): AED 79,905.00 — Due upon successful completion and acceptance of Deliverables 03 and 04.
• Milestone 3 (30%): AED 59,928.75 — Due upon final handoff of Deliverables 05 and 06 and written sign-off by the Purchasing Entity.

All invoices must reference the Purchase Order number PO-UAE-ABH-2025-04782 and must be issued in compliance with the Federal Tax Authority (FTA) invoicing requirements applicable in the United Arab Emirates Abu Dhabi.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, with exclusive jurisdiction vested in the Courts of Abu Dhabi, United Arab Emirates Abu Dhabi.
2. Intellectual Property: Upon full and final payment, all intellectual property rights in the deliverables produced by the UX UI Designer shall be irrevocably assigned to Al Noor Digital Solutions LLC. The Service Provider retains the right to display the work in a professional portfolio, subject to a 90-day embargo period.
3. Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged during the engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
4. Compliance: The UX UI Designer shall comply with all applicable UAE labor laws, data protection regulations, and Abu Dhabi municipal bylaws. Any on-site work in the United Arab Emirates Abu Dhabi shall be conducted during standard business hours (Sunday to Thursday, 9:00 AM to 6:00 PM GST).
5. Revisions: Each deliverable package includes up to three (3) rounds of revisions. Additional revision cycles shall be billed at AED 1,500 per hour, subject to prior written approval under this Purchase Order.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Service Provider shall be compensated for all work completed and accepted up to the date of termination.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures in the United Arab Emirates Abu Dhabi, natural disasters, or pandemics.
8. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the Abu Dhabi Commercial Court for final and binding adjudication.
