The Seller shall assign a qualified and experienced UX UI Designer to deliver comprehensive user experience and user interface design services for the Buyer's enterprise digital platform, mobile application, and customer-facing web portal.

The UX UI Designer engaged under this Purchase Order shall deliver the following in United Arab Emirates Dubai:
- Comprehensive user research reports including stakeholder interviews, competitive analysis, and user journey maps conducted with local and international user panels in Dubai.
- Low-fidelity and high-fidelity wireframes for a minimum of 45 unique screens across web and mobile platforms.
- Interactive prototypes with annotated specifications suitable for developer implementation.
- A complete design system including component library, typography guidelines, color palettes, iconography, and accessibility standards compliant with WCAG 2.1 AA.
- Usability testing sessions (minimum 3 rounds) with documented findings and iterative design revisions.
- Final design handoff packages in Figma and PDF formats with all source files, assets, and style guides.
- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law and applicable regulations of the Dubai Financial Services Authority (DFSA) where relevant. Any disputes shall be resolved through arbitration in Dubai under the rules of the Dubai International Financial Centre-LCIA Arbitration Centre (DIFC-LCIA).
- Payment Terms: Payment shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the Seller's designated account in Dubai. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining 70% shall be paid in monthly installments aligned with milestone completion, with each invoice due within 14 calendar days of receipt.
- Intellectual Property: Upon full and final payment, all deliverables, source files, and intellectual property created by the UX UI Designer in the course of this engagement shall become the sole property of the Buyer. The Seller retains the right to display completed work in their portfolio with prior written consent from the Buyer.
- Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information, trade secrets, and business data exchanged during the term of this Purchase Order. This obligation shall survive termination for a period of three (3) years in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
- Working Location: The UX UI Designer shall perform services primarily at the Buyer's office located in Downtown Dubai, United Arab Emirates, with a minimum of four (4) days per week on-site. Remote work may be permitted with prior written approval from the Buyer's project manager.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. All work completed prior to termination shall be compensated at the rates specified herein.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies as declared by the UAE government.
- Compliance: The Seller warrants that the UX UI Designer assigned to this Purchase Order holds valid work permits and residency visas in the United Arab Emirates Dubai and is fully compliant with all UAE labor laws and regulations.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a UX UI Designer in United Arab Emirates Dubai. This document constitutes a binding agreement effective from the date of the last signature.
